This is a "special purpose acquisition company ('SPAC') seeking to invest in the rapidly growing biofuels market in the U.S". SPACs are a relatively new animal, differently regulated to traditional cash shells.

"Viceroy Acquisition Corporation has been established initially to pursue
acquisitions only in certain segments of the oil and gas industry. In order of
priority they are: (i) the refining, storage, transportation and marketing of
alternative fuels, including biodiesel and ethanol, (ii) the transportation of
petroleum and petroleum products; and (iii) the exploration, development,
extraction, production, storage, transportation and marketing of natural gas and
crude oil. The Company will not pursue acquisitions in the refining, storage or
marketing of petroleum or petroleum products. However, the Company may choose to pursue acquisitions in such segments of the oil and gas industry in the future. The Company expects to pursue acquisitions initially in North America and
Europe."

Re: SPACs: Yahoo: "Stand by for a rush of SPACs to London, says the Times. Invented in America, five special purpose acquisition companies have floated here. The latest, biofuel SPAC, Viceroy Acquisition Corporation , is hoping to buy a chemical plant and convert it to biodiesel or bioethanol production."

"We think we'll be the largest biodiesel producer in the United States by a long way by mid-2007," Viceroy Chief Executive Lee Mikles said on Monday, adding he targeted 60 million barrels production in the first quarter of 2007.
