The share price fall only Monday should mechanically be negligible:* 1.4% increase in shares in issue* new shares issued at -18% discount* So 1.4% * -18% = -0.26% drop in priceAs for the company in the past saying that it didn't need to issue shares to fund the business, I assume they meant on a 'business as normal basis'. The acquisition of Gnanomat (or any other business) clearly goes beyond the ongoing running of the core business. So no contradiction, for me.

The way I read Neill's assurances at the time (months ago now) was that there were no fund raisings planned at that time, not that there would never be any. As such I don't think we've been misled at all. I fully expect further raisings if we need to put down plants or make further acquisitions. I don't want dilution any more than the next man but you can't make an omelette.....

WinnieFroth on Share"profits", rather sweetly thinking that the 5pm Sunday deadline on Primary Bid might work for his fanbase, came out with this last night:

"Today's Primary Bid offer is Versarien at 145p - you know I am almost tempted (in a shabby way):

At 175p Versarien (VRS) is valued at £263 million. I cannot argue with two writers on this site (Lucian and Cynical) that the valuation looks absurd based on historic profits and cashburn or even on some of the more optimistic forecasts. But it has now announced it is raising £2.9 million (or more) at 145p via Primary Bid and I am almost tempted to have a flutter. Here's why...

I know that Cynical is very, er...cynical about the promotional activities of CEO Neil Ricketts but he does seem rather good at it and has assembled a large bad on devoted followers. I reckon many of them will go for this offer. More importantly there are a stack of bears out there who are short and often well offside - who will be desperate to close. So I reckon this offer will be filled well before the Sunday 5PM deadline with most folks participating either bears closing or believers.

Thus I expect the shares to open not that far off 175p on Monday as any bears who could not participate scramble to close. This is a large enough and liquid enough stock for those looking to make a quick turn to do just that and that is why I would be sorely tempted to join them. Notwithstanding the fact that the valuation is just bizarre.

If you do take part and registered via ShareProphets we will earn a small commission". (Ed. Must be desperate)

Anyone else getting the drift that shorters are growing into long trousers with VRS?

Fund raisings for day to day running are the ones that cripple you ! This is likely a bargain purchase that adds value. Best ellis

"and as a result we will be receiving large repeat orders for the material"

which will push up the company's valuation. which will get a better deal in China.

having slept on it I'm a lot more sanguine now. looks like a good deal: but the fact remains that having repeatedly said there were no fund raisings planned, the company then did one.

"Gnanomat is a 100% private company based in Spain that started business activities in 2015.
The Company is devoted the next-generation nanomaterials designing and manufacturing nanomaterials for Industrial application, and Energy Storage. Gnanomat is willing to be the first company to bring graphene to the Energy Storage devices by scalable and industrial viable solutions.
The Company holds Intellectual Property assets over a disruptive technology platform. Also, its green technology approach helps the Company to offer innovative products as a preferred solution for new and existing applications."

Maybe gnanomat have a method to industrialise, but need a quality graphene supply (than their own) to maximise the potential. Therefore a win/win. Neill seems sure this is a battery tech advance. Best ellis.

Neill tweeted to wait for the poddy; looks like justin and neill show on for monday. All will be explained ! Best ellis.

Hopefully managed to get some shares with the only dry powder I had left. Will be moving funds from elsewhere on Monday morning. I don’t really see the point in owning any other shares when I’m Pretty sure this share is going to go through a period of explosive growth.

Surely, the fair way is to give current or even potential new investors time. I like Neill, but this time I believe he has dropped one.
I know why they have to do it this way. I'm just a little aggrieved. I'm sure there must be a fairer way. People are still at work!!!!!

Welcome to the boardToday, like you, I missed out on the offer as I am in the US at present and dropped on to the board only to see the events had unfolded and closedI share your thought that this is a great step to push Versarian up the supply chain and positively influence product incorporation opportunities

Long term holder but first time posting so be nice :)
I also missed the PrimaryBid offer as I currently live in NZ and was sleeping when it was announced and it had closed by the time I logged in. However, I do feel people are missing the obvious benefit of this acquisition. It is minimal dilution and by owning a majority stake in Gnanomat, Versarien are able to control the entire supply chain. They will supply Gnanomat with Nanene (and possibly Graphinks and eventually other 2D materials) and as a result we will be receiving large repeat orders for the material. Along with this, we will also be making revenue from all of the Gnanomat sales. Seems like great business to me and sets us up with a European manufacturing hub post Brexit. Well done Neill and team.

Bootie, my bank account hasn’t been debited yet, nor have I received an email from WorldPay but I have had acknowledgment of my payment from Primary Bid. Sometimes debits don’t show on my Nat West a/c for a while. All a big clunky!! Maybe we won’t know until our emails arrive on Monday morning?!

PS I was sent a verification code from Nat West to authorise the payment, and that was accepted, so I would be very surprised if it was never completed.

BootieJust read your comment. I have only one confirmation email for Primary Bid, nothing from World Pay. I applied at 6pm so I was well in on the time. A little worried now as the PB website is not very helpful. I will try to contact them tomorrow to get clarification

Whilst the large number of collaborations may or may not be at a stage where firm orders are placed, what is certain is that VRS now has a majority stake in Gnanomat, "a Spanish based company capable of utilising Versarien's graphene products in an environmentally friendly, scalable production process for energy storage devices that offers high power density, almost instant recharging and very long lifetimes for use in electrical vehicles and portable electronics products."

Another big step in de-risking the future of VRS into further growth.

Please turn the lights off.

HF,
Have you been debited in full on that amount and received two emails?

I can't work out if there has been a scaleback on the number of shares, also their FAQs states "Please note, if you do not receive a confirmation email from Worldpay AND one from PrimaryBid, your subscription is unconfirmed and you will not receive any allocation of shares in the Offer."

I first learned of the PB walking my dogs (good time for digesting the latest VRS news at some risk of missing the view and tripping). Got home, thumbed my iPad into action, registered as a first timer and “successfully” bid for 9655 shares so there was no 2k limit at 19.04.

Can’t see this fund raise holding the share price down, modest amounts of money raised swiftly and efficiently to activate a great business plan surely isn’t going to dampen investors’ enthusiasm one bit?

The more products incorporating Nanene, Graphinks etc whose manufacture and sale also involves VRS (not just the supply of 2D materials) the more I am reassured that these materials are being cost effectively produced for such commercialisation. I mean Neill isn’t going to want to provide Nanene to his new end product manufacturing plant to generate losses is he??

He is keen on the smaller collaborators for their fleet footedness and ability to wrong-foot and outpace the more cumbersome and it looks like he is now keen to set the pace as well as adding value.

Holy grail batteries, spectacular outlook, let’s get that Gnanomat pilot plant OPEN.
