Under the terms of the agreement, public shareholders of Trulia
would receive 0.444 shares of Zillow for each share of Trulia they
own. Based on Zillow’s closing stock price on July 25, 2014, Trulia
shareholders would have received consideration valued at
approximately $70.53 per share.
The investigation concerns whether Trulia’s board of directors
failed to adequately shop the Company and obtain the best possible
value for Trulia’s shareholders before entering into an agreement
with Zillow.
