Sustainable Capital Plc (the "Issuer")

Notice to holders of:

Sustainable Capital Plc 2021-F1 EUR Secured 8.00% NTS due 2024 ISIN GB00BMG7PR03

(together, the "2021-F1 Notes")

The 2021-F1 Notes are admitted to the official list of Frankfurt Stock Exchange.

This announcement is made by the Issuer pursuant to Regulation (EU) No. 596/2014 (the "Market Abuse Regulation") and Regulation (EU) 2016/1055 (the "Implementing Technical Standards") relating thereto.

Capitalised terms used but not defined herein have the meaning given to them in the terms and conditions of the 2021-F1 Notes as set out in the Supplemental Trust Deed dated 22 April 2021 relating to the 2021-F1 Notes.

The Issuer announces that interest due on the 2021-F1 Notes on 21 January 2024 has not been made to holders of the 2021-F1 Notes. This is in addition to the non-payment of interest due on 21 July 2023 and 21 October 2023.

The assets and security backing the 2021-F1 Notes are described in the Investment Memorandum dated 6 April 2021 and principally consist of contractual rights to income arranged by SMARTKAS Project Finance B.V. (the "Borrower").

As a result of the non-payment of such amounts by the Borrower to the Issuer, the Issuer has insufficient funds to pay interest on the 2021-F1 Notes. No action has yet been taken by the Issuer against the Borrower in respect of such payments. The obligation of the Borrower to make such payments to the Issuer continues.
