Can a major shareholder, and Chairman, get away with this ? If I was a small shareholder,I would demand he sells his shares in the market, if he wants out, like anyone else would have to. Because of the irrevocables, it says c36% of the free shares will be bought in. As much of the Register will be dozy, dead, or long since forgotten they owned NTBR, Jeff might get away with selling half his holding. Does depend on Beaumont Dark. Remaining shareholders will have fractionally higher eps (?really) and more debt, making their investment, overall, less attractive. JB has failed to anything with NTBR. Failed to add value, failed to do anything strategic, failed to see properties, failed to transform the Board. Would not a better exit, for everyone, have been to just put the Company up for sale ? Zero need to do owt in advance of intention to delist - note by not buying shares before announcing you will delist preumably they are less likely to be criticised for knowing the plan to in advance. 27/7/2023 04:01 | You're right, NBD's first appearance seems to be 15 Jan 2019, eight months before the tender offer. At last year's AGM NBD held 2,805,000 = 14.97%, so assuming it was him there must have been others voting with him, but it may just have been a few uncoordinated small holders. If it was all NBD he would have gone over 15% and had to declare. Anyway, I may be wrong about NBD and JB being in cahoots. Thanks for looking into it. It's probably fair to assume that NBD at least doesn't see JB as an obstacle to extracting value from the company. | zangdook | |

26/7/2023 22:45 | I'm not sure whether NBD would be supportive of Jeff or not but as someone said higher up the thread he appears to have had decent stakes in a number of companies that have subsequently ended up in takeover situations. Whether that is because he is just lucky or whether he buys stakes in cheap companies and then puts pressure on the board to put them up for sale is anyone's guess. | arthur_lame_stocks | |

Pre Jeff 8 August 2019 Northern Bear plc ("Northern Bear" or the "Company") Holding in Company Northern Bear plc (NTBR) was today informed that Nicholas Beaumont-Dark has acquired 168,449 ordinary shares of 1p each in the Company ("Ordinary Shares") (the "Share Purchases") and that his shareholding in the Company is now over 5 per cent. of the Company's currently issued share capital. Mr Beaumont-Dark held 4.83 per cent. of the Company's issued share capital prior to the Share Purchases and now holds 1,062,499 Ordinary Shares representing approximately 5.74 per cent. of the Company's currently issued share capital. And also, last year’s AGM The board of directors of Northern Bear announces that, at its Annual General Meeting ("AGM") held earlier today, all resolutions were duly passed with over 99% of votes cast being voted in favour. For resolutions 2 and 3 only, a total of 2,990,425 shares abstained from voting. Looks like NBD abstained so would he be voting for Jeff? | aimwinner | |

Anyway, I don't much care about getting him out, I think he's a non-entity who got in the way for a time but now perhaps he'll let the professionals get on with their work.
