I am sure that patience will be rewarded here with a financier and former stock broker with the largest holdings and looking cheap on fundamentals.

I am just hoping that I have the patience to see it through!

Solid results given current circumstances. Slight increase in revenue and profit staying up. Conserving cash rather than paying a dividend is probably a good idea with interest rates going up and bank facilities to be renewed.

Not sure these results will move the share price significantly …just expected the capital allocation review to be completed by now - not saying the results aren’t good - just not sure what will trigger a re-rating atm

No sort of AGM statement. Two months since the last news and presumably they still haven't finished the "process of engaging with the Board and management to discuss and review the Group's strategy and approach to capital allocation".

It's hard to avoid the conclusion Baryshnik is incompetent to chair a company board.

You have to registar if you are going.

"If Shareholders would like to attend the AGM,we request that they pre-register their intention by email to info@northernbearplc.com no later than 2:00pm on 12th September 2022 and they wear a face covering whilst on the Company’s premises."

It would seem you have 2 choices here. Sell the remaining shares or given that there must be an AGM soon vote against the directors.

My opinion is that there will not be a dividend for the forseeable future. Why would there be? if you are now a director just up your directors pay to get some money if want some, the remuneration committee will obilge, that way you do not need to share the profits with those little runty shareholders. I have sold most of my shares here just retaining a few thousand as I haven't much faith in the future here.

72p was a good premium, I accepted the tender for part of my holding and then bought them back later for less.

Aimwinner, I meant that the shareholders who sold to them had wanted out. In other words those who tendered their shares and those selling in the market to NBD. 32% ( or go back not much further, 42%) of shareholders in 2019 have sold out.

Looking back NBD had 7% before the tender so its 32% not 42%
How do you deduce that either or both "want out" when 1 has been buying?

I fully agree that there has been talk and no action and communications with shareholders seem to have got worse not better in the last year since the board coup.

It's almost eight months since the interims, when they announced the "review" which appears to have gone nowhere. The AGM should be next month; last year they said

"No business other than the resolutions set out in the AGM Notice will be considered."

but they also said they would be "delighted" if shareholders emailed them at info@northernbearplc.com to ask questions.

I wouldn't mind a low rating if they actually paid a respectable dividend. Other than that it's just dead money.

This will remain in the doldrums unless Jeff chooses to engage with shareholders. Where is the presentation ? The meeting offered to shareholders ? The research ?

The new strategy appears to be growing through acquisition, but there haven’t been any (yet). However, understanding and following the existing, core businesses, is most important in the next 1-2 years ( until an acquisition bedded in). Zero engagement with shareholders will leave the rating forever low

I imagine some of the directors enjoyed their dividends. I wonder if JB is trying to push more people out or soften them up for a takeover.

"As a result of our ongoing review, which includes dividend policy, we did not declare a final dividend for the year ended 31 March 2022. I would note that we have the cash resources available to pay a final dividend commensurable with prior year dividends, should we have decided to declare one. Any future dividends would be in line with the Group's relative performance, after taking into account the Group's available resources, working capital requirements, corporate opportunities, debt obligations, and the macro-economic environment."

In plain English they're saying despite thinking about dividend policy for months and months we haven't been able to make our minds up. We have the cash but we're still dithering. By the way, here is an idea of our future dividend policy if we decide to have one but we still can't make a decision yet.

Just make your minds up. "We're not paying a dividend because we want to expand" Fine. But "We're not paying a dividend because we're still thinking about it" Not fine. Incompetent.

My previous information was wrong. They did not close it down:

Our materials handling business, A1 Industrial Trucks Limited ("A1"), has seen an improvement in its profitability despite disruption to new truck sales. We are now expecting lead times for the delivery of forklift trucks to be in the region of 30 to 40 weeks due to supply chain interruptions, which could lead to a challenging outlook over the medium term. As a result, we recorded an impairment of goodwill of £2.6m in our FY22 results with respect to A1, which is further described below.
