Item 7.01. Regulation FD Disclosure.
The Company has posted the attached presentation related to
the Company’s business to the investor relations section of its website on September 12, 2018. Before the end of the first
quarter ended March 31, 2018, the Company entered into an agreement for the sale of convertible notes and warrants and closed the
transaction shortly after the end of the first quarter. The attached presentation contains information showing the pro forma effect
on the company’s June 30, 2018 balance sheet as if the net proceeds from the issuance of Class A shares for convertible notes
and warrants during the period July 1, 2018 through August 31, 2018 had occurred by the end of the second quarter. Management believes
it is meaningful to investors to see the pro forma effect of the on cash, convertible debt and stockholders’ equity. The
presentation is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
