Just checking into the asylum to see how the slow of mind and societal dangers are doing. The inmates are still roaming around bumping into walls and jabbering gibberish to each other. Today's topic, in between watching reruns of Brian Cant in 1973 Play School and still being unable to remember which window to choose, is that little Tom would be soaring if only there was better communication. We are about to complete the first third of 2022 and nothing has happened. Look back to last year, nothing happened, and 2020, similar story etc. Money spent of story trinkets (RF tests, POSP trials, land acquisitions, blah blah) but the nett effect is just the passage of time and the drip drip of your lives and meagre wealth. But you are inveterate dreamers and nut jobs, so there is no hope. Remember not to skip Nursies's morning elixir, you know how it makes you.

Fenners, I think I'll have to make some assumptions in response. 1/ if there was an issue with the Vivakor or other deal we would know about it by now2/AIM is regulated to protect us from such errors of contracts. It's the nomads responsibility to look after us. Tom does have lawyers too!Maybe just file that one under pedantic.

fishyneck - Just read your note on the other thread , and I know this potential interpretation is pedantic, but legal documents are , and that is how people end up not getting what they think they are getting
but you quoted..

"The lease provides Greenfield's subsidiary with the exclusive right"

So Greenfield can extract..

but can Greenfield sub-let ?

I've got to be honest Fenners, I'm not sure if the current RPC is on the 320 acres of the sub lease (D Tract) or on the remainder of the TSH2 land.

Therefore there will be either revenues less 12% or current 10% revenues available to GF until such time as we buy the remainder of the 90%.

Unless the D tract area is more suitable for Vivakor and they build the 2 new RPC's there.

All relevant questions.

all the best,

Thanks Fishyneck I know the details are available, read them before , but too busy to look them up.

However though they may well be referring to the 320 acres , equally they may not, it talks about continuing using existing facility , which since there is not yet an ongoing revenue stream , that may well be not in the 320 acres , right?

It's worth reminding ourselves of the 'sub lease' issued to one of our subsidiaries.

So whilst we strive to buy the 100% membership of TSH2 we already have the exclusive rights over 320 acres for as long as there is oil produced. It takes some of the risk out of TOM, paying 12% royalty on the Vivakor, deep wells, and refinery projects until we can purchase 100% of TSH2. We just need one of these to pay off in the short term......that risk remains of course.

Alongside the acquisition of the initial 10% of the Membership Interests, a newly incorporated subsidiary of Greenfield has been granted a lease over approximately 320 acres of the 760 acre site owned by TSHII (the "Lease Area"), for a nominal consideration and annual rental of US$320, together with a 12% of net sales royalty per barrel of conventional oil, gas or sulphur produced and removed from the Lease Area.

The lease provides Greenfield's subsidiary with the exclusive right to explore, drill, and mine for, and extract, store, and remove oil, gas, hydrocarbons, and other associated substances on and from the Lease Area, together, inter alia, with the right to erect, construct and use such plant and equipment and infrastructure as required. The lease is for an initial term of 10 years and will continue thereafter for so long as any oil, gas or other hydrocarbons are being produced from the Lease Area or drilling operations are being prosecuted or as the parties may agree.

Hi Fenners,

The 600 acres Vivakor mention is the site of TS2, where their facility sits. Its actually 760 acres. So in answer to your question, all of it has something to do with TOM, upon payment of the balance of the land deal of course.

That said though Greenfield subsidiary entered into a lease over 320 acres for a 12% royalty and nominal payment so it is possible 2022 revenues(as I quoted on the other board) can be generated, less the royalty.

All imo.

Vivakor are talking about 600 acres how much of that land has nothing to do with TOM?

Maybe there is nothing to update....

I’m sure you’ll agree that being frustrated at the lack of news comes with the territory of AIM investing! 6 out of 8 stock in my portfolio are overdue news, in the eyes of its investors.

That said, as you will have read, the Vivakor deal has excellent potential for 2022 revenues, they should be shouting from the rooftops!! Nobody is too busy to write an RNS or tweet!

No great surprises that one or two on the other thread are frustrated at the lack of news. What they forget is that JP is a one man band. If TOM are unable to update investors because of a lack of time, how in hells name are they going to administer a $175m++ project?

Quadrise were looking to complete three deals by the end of April, one announced already so it will be interesting to see if they get any more across the line in the next few days.

Now that Vivakor have everything in place they might start releasing news on how things are progressing in Utah,More chance of that than Tomco.

Might it be a suggestion to both Tomco and Valkor boards that when they complete the financing and Valkor assume there 29 percent position, they have designated PR to avoid these PR black holes.

It will be in Valkor’s interests to get the Utah projects in the public domain, keep investors fully informed and given that Valkor have just revamped their website, they understand the importance of this issue moving forward.

SL and Fishy so right and so easy to fix. The reason the share price is so low is down to the directors lack of communication with shareholders and potential shareholders and current sellers.

The fact that the terms of the deal with Vivakor are in the public domain from the previous RNS means the company doesn't need to say anything.

But not needing to say anything is no excuse for missing the chance of some excellent PR. I 100% agree they should have found a way to promote this deal to let the wider market know the implications.
