What I want to know is where’s the RNS on the SPV? We’ve got Petrofac on board now so surely the SPV is imminent? The lawyers have been going through the draught copy for months now. Could they be waiting to announce the SPV and financial close at the same time???

There's a schoolboy/girl going the rounds on this board putting a red thumb on all posts by anyone that they regard as supporting PHE, regardless of the content of the posts. That's fine, whatever amuses him/her.

But what I find rather odd is that in order to be allowed to award red thumbs, one must be a premium member. I would have expected someone who has gone to the trouble and expense to become a premium member to have a smattering of maturity, but it seems not.

Ah well, each to their own!

PPS: it's also interesting to note the posters who don't get red thumbs!

Thanks Graham, that's a good find. And kid they had sold earlier, they would probably have got more for their shares than they have recently!

I wouldn't be surprised if he puts a lot of his proceeds into HUI.

The Relationship Agreement shall automatically terminate if the White Family cease to hold 20 per cent. or more of the rights to vote at a general meeting of the Company attaching to the Ordinary Shares.

They were only locked in for 12 months so could have ended this relationship agreement by the latest July 22 if they were unhappy.

The Concert Party has confirmed that there is no agreement, arrangement or understanding for the transfer of their Acquisition Shares to any third party.
The Concert Party has no intention of making any changes in relation to:
• the future business of the Company;
• the continued employment of the Company’s (and its subsidiaries) employees and
management, including any material change in the conditions of employment or in the balance
of the skills and functions of the employees and management;
• the strategic plans of the Company;
• the location of the Company’s places of business;
• any research and development activities of the business;
• the redeployment of any fixed assets of the Company;
• employer contributions into the Company’s pension scheme and the admission of new
members; or
• the maintenance of the existing trading facilities for the Company’s shares on AIM.
The Company has no employees other than the Directors and does not operate a pension scheme.
The Concert Party does not intend to change its own current business strategy, or any other matter referred to in the paragraph above as a result of the Acquisition.
10. RELATIONSHIP AGREEMENT
The Company and each member of the White Family entered into the Relationship Agreement (which is conditional on Admission) to manage the relationship between them to ensure that the Company will at all times be capable of carrying out its business independently of the White Family.
Further details of the Relationship Agreement are set out in the Appendix to this document.

The Company and each of the Locked-In Sellers have entered into a Lock-In Deed (which is conditional on Admission) containing certain restrictions on each of the Locked-In Sellers regarding the disposal

of their Acquisition Shares following Admission including a restriction on disposals of any interest over any Acquisition Shares held by them for 12 months following Admission and, at the end that 12 month period, orderly market restrictions for a further 12 months. These restrictions will not prevent the Locked-In Sellers from, among other things, accepting a general offer (in accordance with the Takeover Code) made to the Shareholders of the Company to acquire all the Company’s issued Ordinary Shares or to the execution and delivery of an irrevocable undertaking to accept such general offer.

Graham, the White family were restricted from selling any PHE shares for a period after the take-over of W2T but I can't remember for how long.

super, I agree that the track record of the company and its management has been deplorable, and I have never suggested otherwise. But I try to stay positive and with the latest newcomers to the Board I hope that things will improve.

As regards a date for the FOAK to be up and running, I have absolutely no idea. We need to get news of the completion of the JV for the SPV, and some news about the Financial Close before we can get any indication of a start-up date. All of which is in "due course".
