14/3/2009 20:42 | Ofcourse, if Cellcast needed funding they have £2m available to them via the agreement made in July 2007: (2 July 2007) "Cellcast plc (AIM: CLTV), the global interactive digital broadcaster, announces that it has entered into a secured convertible loan agreement of up to #2 million with the Headstart Funds ("Headstart")." "The facility, which is secured by charges over available assets of the Company, is available for a term of two years, with interest payable at a rate of 9 per cent per annum, with the first tranche of #500,000 to be drawn down on 4 July 2007." So far, Cellcast have only used £500k of that convertable loan. Which they succesfully repayed during 2008 using some of the cash from the SKY channel swap deal: "The net proceeds of £1.4 million from the transaction will be used to provide general working capital and to repay the £500,000 outstanding under the existing facility provided by Headstart. The Company has entered into an agreement with Headstart to repay the amount outstanding under the Headstart facility in full before December 2008. During this period Headstart has agreed to waive its rights of conversion subject to the repayments being made. The Company considers that this is the best use of the net proceeds, maintaining operational flexibility while removing the potential equity dilution." The £2m is available to Cellcast up until July 2009. But they haven't needed to make much use of it since July 2007, so i don't see why they should need to use it now. 21st Century as clueless as ever, never made a single meaningful informative post on any of these BBs. 14/3/2009 20:28 | As stated previously, these adult channels produce little meaningful revenues & certainly won't produce long term, sustainable returns for shareholders. Most likely the company are simply 'window dressing' the business, if indeed they are seeking further fundrasing, via a share consolodation, then placement. Another viable alternative is to delist....... out of the public eye, away from the constraints of AIM, who knows what decisons might be taken.
