31/3/2022 12:03 | konil basically Newmont have spent $2.5m but got Ariana shares in return. Ariana are passing this on to WTR for exploration. So yes us shareholders have been diluted, we are not getting an increased position in WTR and Newmont can basically sell shares further down the line and make on the deal. What is in it for us shareholders I do not know apart from having some link with Newmont, but it adds no short term value for 'loyal' shareholders. | soulsauce | |

31/3/2022 11:44 | maybe it was just me but i did not forsee being diluted when the first rns about newmont's $2.5m so called 'investment' came out. i have now re-read the 24 march 2022 rns and dislike many other paras within it, probably an incorrect assessment on my part, because i do not understand enough about it, but as examples here are two which imo stink... 1. "The Alliance between Newmont, Ariana and WTR to run for an intial period of 5 years; such period being mutually extendable with future funding requirements of the Alliance to be met by Newmont, via an option to further invest in Ariana." so more dilution to come, thanks very much. 2. "On conclusion of the Alliance term, and in the event that no Mining Company is established, Ariana, WTR and Newmont will each retain a copy of the Alliance Database, with Ariana granting a 1% NSR and WTR granting a 0.75% NSR to Newmont." unless i am corrected otherwise, it seems to me that newmont have already been paid for their $2.5m 'investment' and access to their regional database by the issue of new aau shares to them but if newmont decide not to to do anything further with ariana within the alliance term (5 years initially) then they obviously still keep the shares and will additionally get a piece of anything that aau/wtr achieve in the future via the nsr. ks has obviously been desparate to get access to newmont's regional database and maybe he can make it work better than newmont has to date, but the structure of the deal makes it look like he is giving away chunks of the company (diluting existing holders) and giving away future income (nsr), in return for a very long term gamble. meanwhile aau have $millions in an account somewhere. perhaps this is ks strategy to get to the '10x in 10 years' goal, but until explained further in terms a child could understand i.e. clearly, i am not liking it. most on here seem very happy about the newmont deal, but as of today's rns i am somewhat down on it. i'm pinning my hopes on apliki (and other cyprus assets that can be fast tracked because of it) and tavsan, everything else including salinbas and certainly the newmont deal too obscure for me currently. | konil | |
