I agree that incident is in the past and gone. It was described as a follow on to comments about us being 'set up'.

It also shows GC's attitude to PIs is nothing but consistent!

Tony, it wasn't me that met GC with you. We went to see a company near Southampton which claimed to have a revolutionary way of packaging food which extended its shelf life. If I remember it right, the prototype machine managed about one pack every 90 seconds - astonishingly slow for what they intended it to do. Don't think it ever came to anything. Stanelco or whatever it was called before that.
My only contact with GC has been to suffer a couple of AGM's with him in the chair where I wasn't impressed at all plus a 90 minute phone call he made to me over my criticism of his director's share option scheme, which was subsequently dropped. He was incandescent and I am sure was recording our conversation in the hope that I would fall foul of the laws relating to slander. He would need to get up a bit earlier for that one!
I also had the broker call encouraging me to be told about the Placing but refused to be made an insider. In the words of Trump, 'not pleasant'! The sooner we are rid of GC the better it will be for the company, in my view. If that view was wrong we would have many more institutional investors queuing up to take a stake. As far as I know, and the share price shows, they aren't. I stay with Amerisur purely because having come this far since GMS and CHP days, I still think the company will attract a bid at some stage. Just hope that wish doesn't go the same way as Paraguay and a few other so-called 400 m barrel fields in Colombia that the company had reckoned were going to be highly lucrative (admittedly most pre-GC days)

It's nearly 10 years ago, personally I would leave it in the past, its gone, history and I am sure it brings back to many, painful memories.

I am thinking about adding a few but would rather chat about the current position rather than history

It was not partaking in the Placing that causes problems - it was trading activity having received the 'insider' information.

In my case, I had to acknowledge I understood what becoming an 'insider' meant. Once I confirmed this and agreed, I was told there was to be a placing, its volume and probable price (to be set on the day of its announcement). This was by telephone about 2 or 3 days before the placing was announced.

That NORMALLY would be to attract participators in the placing (through Brokers) but at the same time precluded the 'insider' from any other activity in the company's shares or derivatives.

Everyone is not still here.
One regular poster was fined close to £40K that totally wiped him out. He has not posted since.

After all, just buying a placing is a regular AIM activity and those who take part always do have "inside information" on that definition.

Any extra information needed to "persuade" potential participators is usually made public by way of a presentation: so often a sign of what is on its way. Was something over and above that information imparted?

Equally, pre selling of the placement regularly occurs and an abnormal trading pattern pre announcement evidences this.

The additional curiosity is that having had such an experience, everyone is still here, despite the share price in the interim period having provided a perfectly respectable exit?

I don't know when/how the FSA got busy.
I had not reacted to the 'insider' information so I would not have been of interest to them.

I guess the information and list was passed to the FSA after the Placing and they tracked market movements and trades to indentify the 'victims'.
Others who were caught up in it may know more.

When we were 23% we were very close to the 25% by which we could insist on appointing our own Director.

Our 23% came from just the CHP thread on ADVFN and who divulged their holding to our 'secretary'. Our secretary was a trusted poster and kept the information to himself - and the company. He only announced the total number of shares to us, not the names.

No doubt we could have exceeded the 25% by just a little spreading of the word on other BBs and the press.

After our request to the company to meet, we were fobbed off with Jerry of their PR firm. There were email discussions about Close Periods etc. Finally our 'Secretary' sent this email -

Morning Jerry,

Note the lack of the word 'Good" in my introduction, I see now why you
did not respond to my email of last Thursday evening because no doubt
you would know on Friday that Sayona was a duster. Whilst I understand
some of the questions I asked may be difficult to answer I would
appreciate a reply regarding a proposed meeting with Giles Clark,
bearing in mind that Chaco have now had 2 dusters it is appropriate that
a meeting should take place, I now have a mandate of approx 60M shares
and no doubt today's news will increase our quantity.

The share price has now more than halfed in about 6 weeks and the
company need to explain what is happening, it really is time to put out
good news to the market and show some loyalty to long term holders of
Chaco, I will retain my holding as I don't think Giles Clark would take
on a loser however he and the board need to prove their worth.

I will forward the list of share holders tomorrow together with a
proposed agenda, I will most probably email Giles Clark direct at some
point today however you should be aware that there are some very annoyed
share holders today and indeed over the last few weeks.

Note in the final paragraph they had requested a list of shareholders we represented.

Some time after our meeting, some or all on that list were contacted offering information that would make us 'insiders'. It was about an as yet unannounced fund raising placing including the proposed price. We were told we could not take part directly but could ask our own Brokers to apply to them on our behalf.

I forget the exact figures but the placing represented a massive dilution of our 23% of shares. I think it reduced us to around 15% .

Our meeting was on 8 May 2007 when we were Chaco Resources, but Giles Clarke was Chairman.

Our request to meet the Directors was met with the response "Giles is not meeting individual shareholders although will be meeting stockbrokers representing shareholders".
So Giles doesn't want to mingle with the unwashed - even though we had support of 23% of all shares. How big do you have to be?

From memory, our deputation to the meeting was Monty333 (this thread's originator), Valentine, Quidnunc and me. Sharesure may have also been with us - or I'm thinking of another company.

I was not caught in the subsequent sting but respecting the anonymity of some who were I have only given scant details previously. Now one has spoken it is more in the open.

Most of it is true though, irrespective of the fact that many of us bury our heads in the sand and don't want to admit it. It's become one of those unspoken truths that corruption in the markets is rife and most just accept it as a given that the big boys will be screwing over the small insignificant PI. Why do we still do it ? Well, I guess it's because we think we can catch on to their coat tails and make a few quid along the way for ourselves. It's just human nature at the end of the day.......
