Every stage of TOM's 'business' has been exciting for investors and certainly the next piece will not disappoint. Plenty more exciting replacements abound - even H&W.

I know 2 people who would instantly replace Mr G and Mr C should they choose to follow their other paths. I mean H&W and Orosur are doing quite well for them aren't they?

I may even know better candidates to help with the exciting next stage for TOM.

The drills that valkor are targeting are for heavy below 12 API which is rare, using huff and puff drilling , the oil is in the region of $300 a barrel .

Last estimated figure for cost of production of 1 barrel of oil was $22-25, I heard a little snippet not long ago that suggested production costs could actually be reduced by a further 50%. So we could be looking at $12-$15 production cost per barrel.

Then you have the sand income on top of that.

At least 14 in-situ wells at an average 90-100 barrels per day.

Potential Vivakor income.

Potential onsite refinery income.

As you will be aware i'm fairly new to this but you need to work out what 6000t equates to in barrel, lets say 4000. Then how much profit per barrel, lets say $40. then how much profit on the sand, lets say $15t. then times it by 2 plants then divide by our share (unknown so lets say 10%)

So lets add it up -

4000b x 40 = 160,000
6000t x 15 = 90,000
250,000 x 320 days = 80,000,000 yr
80,000,000 x 2 plants = 160,000,000

then 14 wells - at lets say 80 barrels a day x $20 profit

1120 day x 20 = 22,400
22,400 x 320days =7,168,000 yr

160,000,000 + 7,168,000 = 167,168,000

x 10% greenfield stake=

$16,716,800 per year.

Something like that anyways.

Thanks damac .. If there is to be a general meeting to approve this new method of funding then surely shareholders will be given all the [positive] reasons why they should vote in favour by rns. So why was this information not put out in today's rns?


Because...as is stated in the RNS....

one scenario that is currently under active consideration would involve TomCo disposing of a majority stake in Greenfield


The finer details have obviously yet to be determined and signed off as agreed between the parties. I would be bad practice, frowned upon by AIM, for Tomco to throw greater details out today that would see the share price rise, only for the final deal to be potentially significantly different to what was put out today.

If Tomco were to have any General Meeting before Xmas (assuming the land deal is to be concluded by year end) they would have to notify the shareholders by Thursday 8th December. They would have to give all the relevant info to shareholders then.

So I suppose what happens in the [very] near future is that we will get the details of the deal John Potter has negotiated on our behalf as we need to know what we are voting for. Then there is an EGM which surely has to be in December.

If we vote in favour is the deal definite and this group pays for the TS2 property
before it expires?

Someone posted that we get 5% to 20% of Greenfield and some cash. How much cash?
Might this be the amount we paid up front for the TS2 deposit? So something
like $2,000,000 to $3,000,000. Not a great deal. I hope it's more like $20,000,000,
but I bet it isn't.

What sort of income are we likely to get from our 5% to 20% ?

Is it a share of the profit or a share from the income ? How much $10 million a year or less?

I bet it must be some sort of joint venture between Valkor and the funders. Are
these new funders or the ones we have been dealing with?

What happens to TOMco after this deal has been completed? Are we a cash shell with an income? What happens to the income do we get a sort of dividend?

Do TOMco use the cash to revive another oil producing process? Would this be the
RF technology?

well my opinion fwiw.

either Tomco get a free carry and a few quid off the funders by 31st dec or we are screwed. If we get a free carry and have nothing to do then great, it could be a lot of income for tomco every yr. We just need to know what is meant by giving up a majority stake? 51% is majority or is it closer to 75 or 80%?

However, I think JP has been played for months by steve byle talking byle. He has been expecting finance since april and nothing appears. It is all down to how trustworthy the funders/byle is and at present it is looking like not very.

JP has been strung along month by month and the funders could pick the land up after 31st Dec and we could get nothing but the 10% ownership of Tar Sands II.

I just hope JP has a plan b, i.e someone to come in and secure the 90% of the land if there is no finance in place by mid Dec. He needs to scupper their plan if their plan is to steal the deal from under his nose.

I am now 70/30 that he is being played.

My 30% positive side is based on the ability to get this placing away, warrants being extended by 4months and the loan only being repayable on a funding deal. If the plan is to steal the deal then there was no need for Valkor to agree to repayment only after funding. They could have just called in the loan.

If they lose the deal they will have around £1m in the bank, no debt and 10% ownership of Tar Sands II. Worth $1.6m based on the sale price to a new buyer being the same ($16m).

Over to you John to let shareholders know the true position, dont stay silent. It just feeds the trolls (again).
