Departure of Directors
or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On April 6, 2017, Pollex, Inc. (the “Company”)
and Seong Sam Cho, the Company’s Chief Executive Officer, entered into an employment agreement (the “Agreement”)
pursuant to which Mr. Cho shall continue to serve as Chief Executive Officer of the Company for a period of one year in consideration
for an annual salary of $80,000. In the event Mr. Cho’s employment is terminated due to death or disability (as such terms
are defined in the Agreement), Mr. Cho will be entitled to be paid his compensation through the remainder of the calendar month
during which such termination is effective. In the event Mr. Cho is terminated for cause (as such term is defined in the Agreement),
Mr. Cho will be entitled only to receive such compensation as he is entitled through the date of termination.
