Shocking, 44p including a 2p special. Even the chairman can only describe this as a “reasonable221; opportunity for shareholders to extract value. Smells fishy

hopefully strong full year results with confident outlook issued before 11th April will put more pressure on any bidders to pay fair value. IMHO.

No smoke without fire it looks as if steven and co are on track to get his company back by next month which by then must be close organically to the halfway point to becoming a £ 1 billion turnover company meanwhile let us hope the board does not sell out too cheaply or we can hope another interested buyer comes along with a more attractive offer AIMO DYOR

Seems like an acceptable price may be reached subject to finance. Its not surprising that financing terms have changed given the last few months. Patience as ever is required!

More tumbleweed to greet a deadline day and we as shareholders are left to wait for an RNS which could land at any time and probably towards the end of the day.

Surely they've had enough time to come up with something to tell us at 7am?

Can't help thinking things are quite acrimonious behind the scenes.

Reduced my trading position in case there is no deal and we get a dip, which would surely be temporary and a buying opportunity. AIMO DYOR

Encouraging to see some buying coming in and a tick up on the Bid. Just 1500 shares currently available to buy online with market quote @ 38-39.

Extended deadline expires a week tomorrow, 14th March.

jon123 you were spot-on maybe when Blyth realised the management team in charge at present can generate nearly 400-500m in turnover without any further acquisitions. Maybe then with the new addition of the new dutch warehouse/integration completed then the £ 1B target is maybe just around the corner for him. which I estimate would net the company close to £ 45-50m in profit PA going forward. basically, I am saying a share price less than 80 p is not up for discussion - AIMOO GLA

gleach23 agree on some heated discussions most likely. Well, at least the board have not been persuaded to give the company away to the creator(s) for a song at the paltry 42p a share and as such gives time for the Board to explore all other alternatives for the future of the company. Perhaps there are also other main players out there who are already circling if not considering a listing and could use XPD as the front runner/vehicle to advance a listing much easier & at a quick pace ;-)

jonnywalker77 agree with your views also bear in mind the forwarding industry as a whole is fairly well insulated from the effects of inflation which leads to higher transportation cost and in turn higher turnover thus higher commission income as well. All IMOO

Things maybe getting better and better hence the change of heart.... Or as you say blyth is using his connections to help his bid... I promise you can keep your job if I win the bid lol

Does it seem odd to anyone else that the Board was minded to recommend the 42p cash offer on 20th December (at which point it must have known the FY outcome) only to now be 'no longer minded'?

There seems to have been a right boardroom bunfight going on behind the scenes for the last couple of years.

I agree. The current management team have turned the company around:

1. Results above expectations

2. Debt slashed and falling

3. Possible resumption of dividends.

All IMHO

Agree on the above point, I suspect they'll come back with an improved offer - the question is how much will they sweeten it by? Do you think 50p would get the job done?

Right decision by the board. Ironically if Blyth can’t stretch above 42p and the deal falls over then it doesn’t send a good message re. his view of the fair value of this business, which he would then suffer from as a large holder…

Another extension it is then but the pertinent bit is good news -

"Further to the Company's trading update announced on 2 February 2023, the Xpediator Board has continued to consider its position in relation to its previous statements that it was minded to recommend the cash element of the proposed offer by the Consortium at 42 pence per share, assuming a formal offer were to be made. The Xpediator Board has determined that, at the current time, and in light of the Company's recent positive trading update, it is no longer minded to recommend the cash element of the proposed offer. The Xpediator Board has however agreed to the extension to the Deadline in order to allow the Consortium to complete necessary due diligence and consider whether to make a revised proposal."

hi svend2 - I'm only going by the extended 'put up or shut up' deadline of 5pm today. I guess we could get another extension announced.

Given the recent update and potential 42p offer, I'm holding tight. Even if the bid was withdrawn (doubtful?) then any subsequent dip would surely be a buying opportunity.

If XPD are letting themselves up for sale at least inviting the freight forwarding community in and participating in the bidding discussions with companies like DSV in Denmark might be an obvious initial invitee to level out the bidding. Can someone who knows the brokers for XPD, please engage in order for us SHAREHOLDERS at least get a BETTER/fair deal THAN WHAT HAS BEEN LABELLED SOFAR?
