IT is not a binary bet and the pre AGM after AGM timing debate seems to have lost its way here.

The usual lot scaremongering about 1 deal in among dozens.

The reasoning is simple. Why would they offer PIs the same option, must be discount etc, which is nonsense.

China is to be a business model to roll out worldwide, we have been told that many times. The suggested BIGT interest would be 15% of the company.

The 15% forms part of resolutions previously passed.

EG in the annual report

Section 561

States you must offer shares to existing holders.

It also enables the Directors to allot shares up to an aggregate nominal value of £230,898 (23,089,800 Ordinary shares of the Company), which is equal to approximately 15% of the nominal value of the issued Ordinary share capital of the Company, subject to resolution 5 being passed. The Directors believe that the limited powers provided by this resolution will maintain a desirable degree of flexibility. Unless previously revoked or varied, the disapplication will expire on the conclusion of the next Annual General Meeting of the Company.


So BIGT want 15% it seems, the current authority expires at the AGM when a new resolution would be passed.

If the BIGT deal secures after the AGM it then takes up the 15% for next year which may be needed for South Korea, Japan or the like.


So as a point of convenience they are keen to get it done pre AGM, but there is no guarantee that it will become the AGM. If after the AGM and 15% was wanted by someone else then they would need to have a special meeting to get shareholder authority etc.

Pre AGM and it's just normal course of business at the AGM.

The deal must a long way down the road for them to have made such comments.

In trigging that they are keen to make 15% available for next year so perhaps another country is keen too that has yet to be announced.
It could equally be just a simple case of keeping that option open.


So all this talk of pre AGM or post AGM is pretty much irrelevant. Before and no further meeting needed, after AGM and they would need to have shareholder support to allocate another 15% before the 2020 AGM.

That's it really, no need to complicate it or add in conspiracy theories. Chris did explain it.

FEST:

There has been a Fester/Peter Knowles/Sponge Peddler thread on Kiwi Farms for some time now, but due to your particularly banal posts the last couple of weeks, the thread has seen a SURGE in activity and has now reached 17 fun packed pages.

(Piney77, PShevlin, TeePee, Clubby are also cropping up now... they've all made such an impression)

The thread is the source of the excellent Fest Photoshops that appeared on ADVFN plus some truly gross ones I felt unable to post on ADVFN 😨

NB: Many of the bogus ADVFN 'avatars' attributed to Haigh are actually Kiwi members and a number of posts made by East Coker were made also by Kiwi members (several people have the password)

I won't give you the link to the actual thread Fest but be assured it's there on one of the sub forums, I'm sure a resourceful chap like you will soon locate it.

Around the same time there was a top class but arrogant Welsh ref called Norling. He was in charge of an Ireland match when some dirty deed was going on in the pack. An Irish forward said bloody hell ref are you blind. Norling was taken aback and chased up to the next ruck and said what did you say ? The Irish player said bloody hell deaf as well.

I seem to remember than Autumn into December was a very busy period for VRS news last year! NR has also stated that November will be a very busy month for him! Add to that, the fact that multiple collaborations are now a couple of years in and must be on the cusp of (very large) orders- I think now would be a good time to accumulate!
