Response: Tomco taking on 100% of Greenfield and Valkor taking a 29% stake in Tomco should be viewed as Valkor becoming more aligned to Tomco going forward, as opposed to Valkor distancing themselves from Greenfield.

Response: At present, we are not expecting a placing to raise this funding.


Comment. "No" is an easy word but does not appear.

The question does not refer to on going costs.which are included in the second question. Why split? No use of the word No.

Hi All,

I have now had approval from the Tomco board to post a list of questions that were asked and the responses given. As stated on my previous post on this yesterday evening, in business it is common curtesy to check with the company that my answers recorded against each question represent a fair reflection of their answer. At the same time, there is no way that I was leaving myself open to claims of misrepresentation of the company by going ahead and posting unverified answers.


Funding/Finance

1. Are you able to confirm that there will be no placing for all or part funding of the initial 10% purchase of Tar Sands II?

Response: At present, we are not expecting a placing to raise this funding.


2. Are you able to confirm if there will be a small future placing in Tomco to provide some working capital to or do you envisage that other factors such as warrants being taken up could negate the need for any small placing?

Response: Nothing has been decided on this as other factors may yet come into play, particularly around the level of warrants that may be taken up.


3. With regards to the plant funding, can you confirm that no equity in Tomco will be given to any lender in return for the required finance?

Response: It is not envisaged that any equity in Tomco will be given up in return for funding. There is the potential for some equity in Greenfield to be given up but that is currently one of multiple scenarios being considered and will be determined by the funders.


4. When do you anticipate reaching financial closure on the required plant funding?

Response: Hopefully, by current calendar year end.



Product sales

5. The last two RNS's stated that Greenfield is in advanced discussions with potential off-takers of the produced oil & sand, are you able to tell us when you anticipate these off-take agreements to be signed off and publicly announced?

Response: We would like to have off-take agreements in place by current calendar year end.



6. Are you able to provide any update on the oil sample that was sent to a major refinery for analysis?

Response: They have requested and have been provided with a further 5 samples for analysis.


7. Are you able to provide any update on the oils samples that were sent to QFI for analysis?

Response: Hope to have a report from QFI by end of September.



Corporate strategy

8. If Valkor take up the 29% shareholding in Tomco as hoped, do you foresee Valkor then requesting to have a place on the Tomco board and is that something that Tomco would be open to?

Response: Tomco would be open to considering this but as yet Valkor have not intimated that this would be their intention.



9. Again, if Valkor take up the 29% in Tomco, would it then be Valkor’s intention to use Greenfield where possible when developing their own oil sands leases in Utah?

Response: Tomco taking on 100% of Greenfield and Valkor taking a 29% stake in Tomco should be viewed as Valkor becoming more aligned to Tomco going forward, as opposed to Valkor distancing themselves from Greenfield.


10. Assuming financial closure for plant funding is achieved, do the board have any strategy in place for then beefing up the Tomco internal capabilities at Management level, especially in regard to engineering so that the risk associated with being so heavily reliant on Valkor is somewhat mitigated?

Response: The board recognise that when such a stage in proceedings is reached, they will have to take stock and make the necessary appointments where required, whether that be through direct employment or via an external provider.



Public Relations

11. Do you agree with shareholders that there needs to be a significant uplift to the current share price level to better place the company & shareholders should any future third party make any predatory advances, and if so, what plans do the company have to be more proactive on PR, obviously taking into account that at present there is only limited manpower in the company?

Response: It is envisaged that securing financial closure on the funding will be the catalyst and the appropriate time for then promoting the company/project including to potential institutional investors, hedge funds etc.

Perhaps that was an ejector seat with a fancy parachute and a guaranteed soft landing....

FN if you have a sizeable investment and want to make a profit , you and the rest of the market know , the only way to realise that is for there to be enough demand for the shares you bought to provide buyers and increase the price.

Anyone's best chance of making a profit is therefore to promote the virtues of a company far and wide to as many people as possible.

You do not have to like those potential buyers, you do not have to agree with them , but someone has to convince them.

In small (micro) companies like this , there is more of a chance that even one poster with genuine good news could end up persuading some.....

So logically any genuine good news kept to a select few is a nose spite face situation.

However if it was only bad news than the opposite would apply.

Here here to the last point. It is surprising how much money has been invested in this business by tens of people on this BB who spend hundreds of hours shouting into the echo chamber of this thread. You are the owners of this business and they are your employees. That you do not grasp this will be your downfall. You give your money to this company on the lame tacit promise that the Directors will respect it and give their best effort and apply appropriate fiduciary responsibility. You all delegate without oversight and control. That is abdication of an owner's responsibility. The stock market know that PIs are generally lame have little understanding of how it all works and you are purposely kept in the dark. The one opportunity each year to look them in the eye and cast your vote and you all cannot be bothered to attend. What do you expect!

My opinion of the AGM, as briefly stated yesterday, is that is was a positive affair. There was a list of about 12 questions put to the BOD - some they could answer, some they couldn't. Damac and myself are simply comparing our notes and then confirming them with John so that the feedback given is as accurate as possible.

Might I suggest to those who would report this in a different way commit a few hundred pounds and a day of their own time next year and attend the AGM.

To assist Greenfield in progressing its plans for the Site and the securing of further funding to develop and acquire the membership interests in TSHII, the Company has engaged specialist oil and gas industry advisers experienced in the structuring and securing of such financings. They are currently exploring a number of potential funding options.

Not to forget no placing.
