I said this should happen some time ago, did not expect it to be so soon though. Fantastic premium for MWG holders and each MWG share goes to SKIN. As a result SKIN's MCAP substantially and the 10:1 consolidation will get rid of the penny share brigade and bring in the big investors. As I see it is a Win:Win for everyone with all synergies and costs savings + not having to run 2 PLCs. I like it very much, well played Gerry B.

To my way of thinking this was an arbitrage opportunity, while SKIN ran so far ahead of MWG. Today's news looks less like a takeover than a merging of the two entities, with some cross subsidy in terms of market value from SKIN to MWG. Think of it in terms of the reunification of West and East Germany. (Or not...) Short term pain for holders of SKIN, but the combined business will be formidable, with lots of potential income streams.

Basically, MWG was undervalued, and this has served as a correction.

yes, indeed.

And 9 times out of ten, share price slips post-consolidation! So SKIN could slip after consolidation. Don't ask me why, but almost always seems to happen after any consolidation.

There is no "price" in the offer.
It is a straight swap of MWG shares for SKIN. So if SKIN falls to 2p MWG is worth 2p. and all other combinations. Forget about the 4.1p, that only applies if the SKIN price goes back to 4.1p

Sadly, worth remembering the old board and the ceo destroyed this company and required it to be refinanced at 0.5p HAD they not done this today's takeover price would be circa 20p based on back of envelope calcs.

This is great news for both companies. It is also the right thing to do IMHO. This now has the makings of a future massive business. I am not selling a share even though the combined value is now a much larger part of my portfolio than I would normally want !!! GLA
