Our client is an AIM listed value food retailer based in the North of England, with 20+ stores across the region. The business currently turns over in excess of £20m, is highly profitable and the share price has grown rapidly recently to reflect the health of the business. Sorry about the long-delayed reply - due to a combination of having been quite busy with other things, plus a general reluctance on my part to do this sort of stuff privately (*), plus the fact that I was intending to do some significant trading and so information about how many shares I was going to vote against resolution 2 was very likely to go out of date... Anyway, assuming no settlement difficulties that delay changes to the share register, my votes against will come to about 0.56% of the shares in issue, i.e. broadly similar to what you've said your family holdings are. Almost certainly both will be a somewhat higher percentage of the votes, of course, as it's very unlikely that absolutely all of the shares in issue will be voted. But I don't expect that effect to be particularly major - this issue is important enough for the company that I think there will probably be a fairly high turnout, at least by shareholder-vote standards... By the way, for anyone thinking of trading the shares, note that from today onwards, trades won't settle until Monday 21st or later unless you use accelerated settlement. That's after the company's voting deadline (share ownership needs to be on the register by 10 am on the 20th) and so standard-settlement trades won't affect the number of shares you vote. That's for certificated and CREST holdings, by the way - voting for nominee holdings is controlled by your broker's deadline (and whether your broker supports voting at all) and I would guess those deadlines have already passed. (*) Among other reasons, keeping track of which details of my shareholdings I've made public and which I'm keeping private is enough for me.
