alex, I realised it was about general companies and from a Balderton Capital point of view and not 1R specific...
your comment about 'forget increasing profits, try make some first' was also what I was saying about 1R, given SC is still a senior exec at 1R...

Wow!! - just looked in after a few weeks.

How on earth the same people can spend so much time sending messages back and forth about absolutely nothing at the end of the day.
It baffles and at the same time amuses me.

They must all have very sad lives.

STT ... the SC comment, quoted by me from an article in the London Evening Standard, was a general comment about listed companies ... it was not specifically about Blinkx/R1. So hardly a "Ratner moment"?And what he said is generally true ... the reality is that businesses do not grow in a straight line, their profitability can fluctuate when their markets take a dip ... and when that happens for a listed company they generally get punished, especially smaller companies. The only positive is that at times we get the opportunity to buy a decent company cheap. My point was forget about increasing profits, try to make some first ...

anyway 2 good things you can say about this 'incredibly exciting' acquisition

there should be another few million cash in the bank come end March, might come in useful, think Perk had about $10m at end Sept 2016

1R will probably make another full year loss in April but the loss per share will be that little bit less because there are another 88m shares out

every cloud has a silver lining!

gl, in terms of what companies say about themselves...

very few CEOs or company officials would openly say their product or company is failing or sh*t...
It's the old 'Ratner' comment...

although SC seems to have with his recent comment about shareholders expecting increasing qtrly profits..

anyway this shares business, there are now 406m shares out, and Perk will get 88m new shares bringing the total up to 494m.

Tosca will be able to own up to 30% or so, so they may decide to buy another 27m shares - just to own the same near 30% of the company that they already own - which will probably cost them over £10m.

39% of the 88m are locked up for 3 months, about 34m shares, so that leaves another 27m shares that could be sold quickly on the open market, probably largely depending on the TU

Sikh, there seems to be a lot of hype in this business, some of that material on Ve Interactive - what they were saying about themselves - reminded me of the Rhythmone blogs where everybody is just 'incredibly excited' about something or other

so according to the circular 39% of Perk shares were held by people who also signed up to a 3 month lock-up agreement

but presumably the other Perk shareholders will be able to sell up as soon as the deal becomes effective and they take ownership of 1R shares

be interesting to see what happens as greater liquidity was said to be one big advantage of the deal for them

wouldn't be doing any topping up here until the situation becomes clearer
