DEEP-SEA LEISURE PLC ("DEEP-SEA LEISURE" OR THE "COMPANY")

The Board of Deep-Sea Leisure has been informed by its controlling shareholder,
Net-Ein SA ("Net-Ein"), that Net-Ein is in discussions with certain minority
shareholders about the possibility of increasing its holding in the Company by
acquiring their shareholdings.



If agreement is reached, this may or may not lead to an offer being made for all
of the outstanding Deep-Sea Leisure shares not already held by Net-Ein.



Shareholders should note, however, that there can be no certainty that Net-Ein
will reach agreement with the minority shareholders or that an offer for the
outstanding Deep-Sea Leisure shares will be made.



In accordance with Rule 2.10 of the City Code on Takeovers and Mergers, the
Company announces that it has 19,199,783 ordinary shares of 5p each in issue.
The Company also advises that it will shortly be sending a copy of this
announcement to shareholders.



A further announcement will be made in due course.
