Cyprusdave, I think you may have misread the document. The document says
"A maximum of 16,762,099 Ordinary Shares (representing approximately 12 per cent. of the issued ordinary share capital of the Company) may be purchased under the Tender Offer, for a maximum aggregate cash consideration at the Tender Offer Price of approximately GBP4.2 million".

The other 82% is held by what the document terms "The Majority Shareholders" (i.e. the companies controlled by Abramovich).

So, the tender is for all shares not held by The Majority Shareholders.

HL saying that whilst the offer is st 25p only 12% of shares are greed to be bought???

Alongside this, Zoltav Resources Inc is offering to buy shares at 25p per share. You can ask to sell all or part of your holding in the offer. You’ve got a guaranteed entitlement to tender (i.e. elect to sell) 12% of your shareholding. You might not successfully sell all the shares you tender above this amount.

It's a condition for the tender offer to proceed that the resolutions at the EGM pass. The major shareholders have about 88% of the votes; so the resolutions will pass. Other things being equal, the minority shareholders will be bought out at 25p and the company will delist.

• A substantial undercurrent set of Short Sellers who seem to be betting against delivery and pre-gas price rally; now hurting and desperate to close out their positions – towards First Gas Q1-Q2 2022. Their short positions could create a dramatic squeeze to 2p alone IMO.
• Legacy Oil Assets and failed projects knocked share price and confidence of Long Term Holders
• Geothermal Progress Seems Slow
• Delays seem to bother some impatient traders but Aleph have stumped £12m loan!

• Harmonics showing 2-3.5p target?
• Management believes 3.5p per share is Fair Value vs. 0.90p share price

I think something that may have been lost in the RNS of 4 October was the following:
"it may be challenging for the Company to maintain its licence obligations with regards to the Koltogor Licences"
So, are these about to be sold? Given the current oil price, the licences must have decent value.

The company is actually now in great shape. It is sitting on a pile of oil (Koltogor) and, given the current oil price, it's got to be very valuable. Zoltav is a gas producer, and the gas price is through the roof. Zoltav has huge gas potential - the unexploited Eastern fields. Now it has agreed the finance to develop them. Now might be a good time for an oil major to put in a cheeky bid for the company, and with Mr. A's right to covert his debt at 27p, he might find this a tempting option .
