Chadwick123 as I posted previously I research many companies and am happy to share , no opinions about the share price , it could go up /down/stay the same its all supply and demand, everyone can decide for themselves whether a share is an investment or a gamble, for an hour , a day or forever.

I do believe that "narrative" especially on BB's is not as effective as "facts" as presented in RNS's.

Most people do not read most RNS's through, too busy / can't be bothered... etc.

Just because a few people post on a BB all day , does not mean that's the only audience. There are many that are just "lurkers" there could be new readers every day who know nothing, They can always choose to read / not read.

Anyone who wants to waste (?) a few weeks going through my posts , will see, I can be thorough. They can also check out the share price moves after I started research and guess if there is any correlation to the conclusions about a company's prospects (not share price) that I arrived at.

Or just ignore it all........

Agreed rmart. However, it must be a last-minute decision, to leave it so close to a dead-line. I would still like to see more clarity, from the Board, on the full details of the findings of the due diligence, and the full benefits to the company, before signing to it the new contract with Valkor. However, all the other planning work should be continuing.

There is not a lot to discuss at present as we are in a maximum of a 6 week extension. However, it may not take 6 weeks, I think it is down to legal getting paperwork done and signed, I personally think they have gone max with 6 weeks. Anyone wanting to get in just before the next leg up is now left guessing when it will be. Those that sold out could very well wake up to various other rns during the max 6 weeks period. Pre feed report, oil major test results, or even the big one itself which is the land deal sign off.

I would not want to be on the sidelines guessing.

fenners, many thanks for your detailed summary, would you kindly tell everyone why you spend most of the time explaining to everyone, why we shouldn’t be invested in Tomco, if your not invested, why would you want to spend your valuable time on here,just doesn’t make sense, not criticising just curious.

If john was merely "kicking cans" he would be doing so with his mates in the North West. The fact he is currently spending a month in Utah, away from his family, shows me he is committed to finalising this non dilutive deal. Nobody goes to Vernal for a months jolly boys outing!

£9.2m of leases on the BS F66 speculatively containing a contingent resource of 131m barrels. Each BS acre is valued at slightly under £600, significantly less than the £17,800 of this plot.

The £9.2m should be written off the BS unless they undertake a major fund raising exercise because they have no chance of developing it. That acreage is worthless to TOM.

Any funder worth their salt will take a look at the net assets of £10.7m. They would write off the £9.2m leaving £1.5m less the cash that they have spent since 31/03. The net asset value is going to be circa £1m. It will not even pay the liquidator's expenses.

If Waldo is buying, I would be offering to sell before the knife falls.

Thing is, if you were a financier , which company would you be looking to fund?

If CORT works , would it be the Tech owner? Petroteq
Would it be the company that knows how to engineer it to work , Valkor
Would it be one that can drill for oil because they have the engineering know how ? Valkor

Would it be the one who pays $144 an acre for (proven?) ground ?
Or the one who wants to pay $24,000 an acre of someone else's cash with no plant to run / drill on it?
Would it be the one that earns cash from a JV to fix a plant ?
Or the one that spent $1.5m on someone else's plant?

Would it be the one that had a history of delays and LOSSES , say £20.6m with no current sales and almost zero employees?
Or the one with profitable operations and donations to charitable causes.?

It seems to me that one of these companies is blessed with nous and commercial acumen.

Which would you back , as a financier....?

Wow with that contribution on a finance BB I am now convinced....

However , back to discussing the "facts" of the RNS's

1, It was Turboshale to save the world - where is it ? Failed

2, It was RF to save the world - now mothballed

3, Delays all round , not failure just delays

4, We met a bloke who had some tech , borrowed from another co. and had so much spare cash and resources lying around we decided to help them instead of developing our own we spent £10m on.

5, Joint venture on someone else's test plant that will save the world.

6, JV means we need to raise new cash , to pay our partner to do the engineering on someone else's plant so we can use it to do 500 bpd for a few weeks , just $1.5m

7, Delays and never actually get to 500bpd which was going to earn us some cash.

8, Give test plant back. Wave goodbye to $1.5m

9, Find a new project, buy some land , even though we already had some of the best

10, Buy it with our JV partner who will fund 50/50 or at least put some management time in...

11, Got to have this land because there is nothing like it , not even next door...its got a 5 year old+ plant on it that is even more useless than the POSP up to date (New Cort Tech) plant which was apparently held together with prayers... and it might have a road which no other land in the area has got, except for everywhere next door of course...

12, Agree to buy a 4 month "option" to purchase as there has been massive demand from no named party to buy said land which has been for sale for 5 years and the last operator went bust...

13, Have no idea how to fund it , but kick off big by planning on raising $110m so to build a new 5,000 bpd CORT plant.

14, Financing for that just how many weeks away ?

15, Fail to meet deadline, blame alternative due diligence request , despite saying the $1.5m spent on someone else's plant should do the trick.

16, Since we are in deep (our choice ) and don't want to lose the $200k spent , add another option fee of $100k

17, Surprise, fail to meet the now 5 month deadline for financing the purchase , but this time its not financing $110m (don't mention that) , no , not even financing the $15.25m to buy the land , no , but now despite everything going to plan , fail to even finance the 10% deposit of $2m, how come its only 10% for $2m when the whole would be $2m +$15.25m ? Surely that is 11.6% of the whole ? Tricky maths....

18, Instead add a further $200k to the risk for 6 weeks delay, now we are in deep there's no going back now...... "however there can be no certainty that a suitable agreement will be reached with this or another third party or as to the terms of any such funding." better put that caveat in there, so people know the risk....

19, Having thus far failed to finance even $2m , better get another idea, so unnamed 3rd party, will help by using old tech to drill the land for oil and lending the money so we have to pay it back....

20, Meanwhile our JV partner does not seem to want to be our partner any more and want out despite everything we have done going so well. But we will not buy them out until we get the $110m so they will have to wait ... and instead play their part ?

21, Because we did not name the 3rd party our shareholders will have to speculate that its actually the JV partner Valkor...

22, Find out that Valkor has bought some land of their own , next door to the land we want.... its 3,459 acres but costs just $500k so only $144 an acre...

23, Since deadline to find the 10% deposit for the land has shifted to now 6.5 months its looking increasingly unlikely that we will buy the other 90% by 31-12-2021 so the price goes up by $1m ... wondered why that clause was ever agreed... land owner has been able to use our $500k already....

24, That would mean the 760 acres now costs $18.25m .... kerching..... just $24,000 an acre vs the land (next door?) at $144 an acre we definitely got the better deal though cos we got tar sand stuff.... we can't do anything with without a CORT plant , which we are not mentioning in our updates any more...

25, How long would it take a partner to get a commercial drilling operation going , so that we can make enough money $16.25m to pay for the 90% of the land ? Its got to be all done by 31-12-2022 ,yes we agreed to that deadline as well......

26, Revise calculations and our land is surely worth 166x more than the land that Valkor are going to be buying .... wonder where they got the money for that from? Handy we paid the $1.5m for the POSP ....

Does that summarise the position, no rose tints, just RNS facts ?

The brokers would have loved to have got 500m shares at .4 for their clients. We can all see the newsflow the land deal releases which would potentially allow placees to turn over their shares in no time. If this was simply a board can kicking exercise a placing would have been done long ago. They are working hard on the alternative funding options. This is going to be a massive step. Bring it home John!!

There is absolutely no doubt the board could have smashed a placing out around .40-45 to raise the million required to finalise the land deal. They have resisted as better options for shareholders appear available. For this they get my backing and continued support for the weeks it will take to finalise what will be complexed deals. The outcome here will be positive imo,

With a bad track record, appalling financial statements would any bank lend a bean to TOM. Many investors will probably think the Board were and remain in a big jam. Will it go the same way as in the past! It's going to need a massive placing to get out of this hole and stabilise the overall funding situation but this may be the best way out to make some sort of progress. TOM is an entity only a few investors can feel comfortable about but it is a journey full of excitement for those who like adrenalin rushes. At the end of the day when something seems a little too good to be true it usually ends in trouble. The Directors were wrong to express their exhuberance in the face of such a challenging mountain. The chairman is a smart operator and he may have the draft placing details in his case. Obviously it is under wraps but he will be wary of holding back for too long. Better to face the outcry now than leave it when it may be out of the question. All is not yet lost and there may be other options in reserve.
