Tom is an IOM registered company. An IOM company investing in US as indeed in most developed parts of the world will be of 'interest' to various authorities in those jurisdictions. Nothing wrong with IOM if the company is properly managed and the Board understand the rules. If central management is in UK THEN FOR EXAMPLE it should file its accounts at Companies House. IF Tom is managed from UK THEN IT SHOULD FILE CORPORATION TAX RETURNS in UK.

Does Potter invite you to ask questions knowing that you will publish the answers?

What / who provided the information you have re $110,000,000 funding.
