Petroteq says the offer undervalues the company.

A good update from Tomco backing up the process success and including the sand sale possibilities could see Tomco on the road to a big re rate.

This may be the weirdest of all coincidences but the total shares owned by the top 4 if you assume that Valkor/SB have 20% is 43.2%.

That is almost exactly the same percentage value as the number of shares the third party are after (200000/465000) which is 43%.

It would certainly support the theory that Valkor/SB are behind the approach

Top 4 have 37.5% by the looks of it so certainly makes attaining 200 million shares without any of their support a hell of a lot harder.

Only has Valkor as 14.3% so another 5.7% to add there as well assuming SB/Valkor have approx 20% so up to 43.2%.

Does anyone have the list of main Petroteq shareholders to hand as it should be easy enough to see if it is feasible to attract the required volume of shares without SB, Valkor and major shareholder support.

From memory say total of 450 million shares, SB has say 90 million (20%), therefore the bidders aim of 200 million is down to a max of 360 million already.

Cannot imagine Valkor would sit back and let Petroteq be taken over by a third party, who they have no degree of control over.

‘Mandatory Offer’ threshold for Canadian listed companies is 20%, so Valkor must be currently just below 20%. So if it is Valkor, why don’t they just buy 1% on the open market and then make a mandatory offer to buy the rest of the company. And that offer would probably be a lot less than what this unknown entity is offering.

On one hand it makes sense to say it is Valkor because of no apparent due diligence being carried out by the unknown entity. Yet on the other hand it makes no sense as Valkor could snap it up cheaper, as mentioned above.

If it were Valkor, then it would only need roughly 3/4 of the 200 million shares (43% of total shares) target to get a 51% stake in the company as SB already has 20% himself from a previous deal I believe.

Damac .. true but a buyer would probably be alot more cash rich than Petroteq , which would affect the level of competition

Mind you if Petroteq had its wits about it , it might be looking for a white knight here to do a JV ... But it may be too late for that

The predator is moving very quickly , leading to the questions about how it's got the info to act so decisively

Which in turn leads to the speculation it could be Valkor

As things stand Petroteq is the competitor anyway. They intend (subject to raising funds) to go ahead and build plants elsewhere. So if some company (other than Valkor) were to buy Petroteq, there would be no change to the current situation.
