The way I interpret it is ....Any buyer of Petroteq , assuming they have competent engineers don't need Greenfield or Tom

According to that 30/11/20 RNS all IP and process developments , engineered by Greenfield on the Posp belong to Petroteq

Yes Greenfield has a licence to use them in the USA , but a buyer of Petroteq gets the IP and can go it alone

So any buyer of Petroteq just becomes a competitor

Investors should be concerned by the recent news. Absence of real news from Tom does possibly indicate that there are problems about the company's position vis a vis Greenfield's future and potential conflicts of interest between its partners. 50/50 operations can be very difficult to operate and GS and SB INTERESTS currently may be ar variance with Tom's.

From a Tomco perspective I am a more than a little concerned. What should be a transformational few weeks for the company, we now have this clouding things. I am struggling to get my head around, why a bidder would be interested without detailed first hand knowledge, unless Petroteq have allowed information to leak either willingly or not. They have, however denied knowledge and claimed that it was shareholders that first informed them. At first glance you would think that Valkor would be in pole position and should this be the case, will feel blindsided by Valkor.
The "do you know anything about this" conversation will have already taken place, and if its not Valkor "what can we do about it" will be the next conversation.

I do have a regard for JP's work on the ground, but from a legal competence stance, I have severe worries about the rest of the board, and should a bidder be successful and its not Valkor, we could well be caught up in a legal tangle that we can not afford, if our legal agreements are not watertight. I hope this Bank holiday weekend, the board have been informing their lawyers to check the small print.

If SkiBoy10 was right, albeit premature ten years ago, you may also be right.

"Uppgard Konsult AB, Sweden, offers to the shareholders of Petroteq Energy to purchase their shares (WKN A2DYWC, ISIN: CA71678B1076) at a price of EUR 0.48 per share. The minimum purchase is 1,000,000 shares.

The offer is initially limited to 200,000,000 shares. For larger quantities, please ask. In addition, acceptance shall take place in the order in which the declarations of acceptance are received. The offer ends on 30.06.2021, 18:00."

200,000,000 x EUR 0.48 = EUR 96,000,000 * $1.22 = $117,120,000

From the_satori re:Petroteq Offer

"The Strategy behind the “insane” buy out offer

1. The Company behind the Swedish Company buys 200 Mill shares of Petroteq for 116 Mill USD! (offer is to good for most beaten down shareholder to reject)

2. They take control over the company and the technology.

3. Then they invest a few more Million and build a few plants with 5000 Barrels per Day production each, annual profit goes to 80 Mill with 5000 BPD, 160 Mill with 10.000 BPD ...
4. Petroteq’s value growths to a few billion and they have tenfold their investment.

Smart 😉

Prelude Part II

Prelude Part II 😆 to "The strategy behind the "insane" buy out offer".

Why was such a high takeover price set?

The moment they reach the 10% threshold, they have to inform the authorities and the public, the market would react as it does now, if not worse (for them)

(See also the article "The strategy behind the insane buy out offer").

stocktwits.com/the_satori/m...

They believed that the depressed shareholders of this Beaten-Down-Stock would immediately accept this "insane" offer.

Why Germany? Read Part III

Prelude Part III

Why Germany?

- they chose Germany for legal reasons, as they wanted to avoid making the offer public and filling it in the US and Canada.

- they chose Germany because oil sands has no significance there, zero media coverage and news, let alone information about technological developments in the area.

- they do not follow the company as closely as shareholders in the US and Canada.

- the majority do not know or understand the importance of oil sands to the energy supply in Canada and the strategic importance to the energy security and independence of Canada and the US.

Even most U.S. and Canadian citizens are not aware of this!

Sneaky and cunning 😉"

It’s all very exciting and would not be happening if the process of production had not been successful, there are billions of barrels in oil sand in USA and someone wants in.

He has previous dealings with Petroteq and their predecessor so I'm thinking that he was copied in by Alex Blyumkin in the initial email to the Swedish company. I'd say he is acting on behalf of Petroteq.

Previous dealings....

Petroteq Energy Inc. (TSXV:PQE) in its US$12.8 million debenture and concurrent secured convertible debenture financings.

MCW Energy Group Limited (TSXV:MCW) in its acquisition of TMC Capital, LLC, which holds a mineral lease related to tar sands, oil and other minerals located in Utah, in consideration for US$10 million.

MCW Energy Group Limited (TSXV:MCW) in its proposed acquisition of GeoPetro Resources Company (NYSE MKT: GPR)
