I see according to the AIM Rule 26 declaration, directors and major holders (>10%) hold 40.29% of the shares.

So have the directors and major shareholders deliberately blocked a potential 150p bid, because they see themselves better off taking private, even if it may not be the best interests of the smaller PIs to be delisted?

(Sorry The_Mandalorian for my ignorance but, as I said, I haven't been following this company and am trying to understand the shenanigans.)

There could be a huge avalanche of (compulsory) ISA sells prior to de-listing.

Has it already started? (hence share price @70p, when 'possible' oppenoffer @150p)

When looking at the shareholder list, I'm confused.
How could the Bod that owns a large amount of the shares suddenly flip from being minded to recommend 150p to today's "The Board of LRB yesterday announced that it had received indications from holders of a majority of the issued share capital of Tintra that they support the development of Tintra, and consequently that they would not wish to accept a cash offer at 150 pence per Ordinary Share,"

Moreover, wasn't there announced with the 'takeover' proposal an option to continue to hold in the new 'company anyway rather than take 150p? So what's the difference?

No wonder the market seems to continually call this correct.

The shenanigans here make this more of a casino punt than an investment, and I am not gambling with large sums of money even if it might double.

What is all this "possible offer" talk anyway. Why even announce a "possible offer". If I write to the chairman of HSBC and tell them I "might" be making an offer for the company, would they release an RNS saying so?

If there is an offer, sure, announce it. If it is just something that could happen I see no reason to announce it. It is "possible" anything can happen.

I've not been following this company so please forgive my ignorance and laziness:-

How many shares do LRB already hold?

What's the free float?

I find it odd the company feels it would be better able to raise the capital it needs to develop the business as a private company. I thought companies listed in order to raise capital easier from funds and mug punters?

Also, "The Company believes the Tender Offer does not make any material change in value to shareholders compared to the Possible Offer, and that it is a change in process to achieve the same outcome."

Yet haven't the majority of shareholders indicated that they don't wish for such an outcome?

all these hopelessly transparent spiv games to try and protect the share price from Being at the 5-10p it should now be at so they can raise capital in the near future.

Why did the company not seek shareholder approval and just issue 30% of the company in new shares at 150p to this so-called bidder?
The shares would have gone to near that level with a genuine buyer via an issue of equity, and anyone wishing to sell at that price could have done so in the market.

Great news we get double bubble from current share price or we can choose to keep and would be worth many x more off market not sure how they’ll get the large percentage they need as holders with largest stake have said they will keep theirs not sell and not many shares actually in issue. They know worth a lot more when company fully finds large growth.

adho we are not obliged to take that - the ‘offerer’; is obliged I understand from someone else the highest price that the stock traded at in last 12 months from 5th October which is around 5.00. We don’t have to take anything or even say yes. We get to decide. Happy if they go away and we get back to higher levels or come back with more realistic price but it’s still 50% uplift profit on current share price

The "offerer" should be hoovering up as many as they can whilst it is under £1 if they had any sense. The fact they are not is baffling.

Any thought of getting more than the current offer price is pie in the sky. There is more chance they come back and say on second thoughts we will give you a quid.

I think we will get a better 0ffer 1.50 hardly reflects true value inc patents we were trading 3 times this previously it’s not like we are down on our luck, results were good read I think board should ask the offerer for much more at minimum double at 3.00.

Results of sorts released last night (which is weird but we are used to this sort of thing). Highlights for me are the repeated mention of a "possible offer". Was it an offer, or a possible offer?

That and the fact they have (I am happy to be corrected) burnt through £1.5m in the period and have (again happy to be corrected) about £3m left in funds, giving them 12 months or so to reach break even!
