"... 18 March 2022, Sycamore made a proposal (the "First Proposal") under which Sycamore would offer 130 pence for each Ted Baker share. Following the Ted Baker Board's rejection of the First Proposal, on 22 March 2022 Sycamore submitted a revised proposal (the "Second Proposal") under which Sycamore would offer 137.5 pence for each Ted Baker share, an increase of 5.8% on the First Proposal. The Board of Ted Baker has also rejected the Second Proposal..."

I cant see Sycamore massively upping the offer.

Wonder if another will bid tomorrow now the only known bidder is showing his hand

This is not going for a measly £250m it’s a global brand

My guess is - bid at 135 as a sighter and then an increase to 150 (twice the last raise). Tosca will ask for convertible loan notes for their stake so when it's re-floated they will make their profits.

Tosca bought a few more yesterday

There would be no point Sycamore approaching the board unless they had already agreed pricing with Toscafund, and probably Schroders also (who have got 12.6% I learn from an RNS today).

The negotiation is very straightforward. Toscafund have the 'walk away' option as a result of their blocking stake, and simply have to decide whether to sell or hold. How long should we expect such wrangling-over-price to go on for? Couple of weeks I guess.

My guess is they wouldn't sell for 160p. 200p maybe. Anywhere in between I'm not sure. This is speculation with probably a fair amount of psychological price-anchoring thrown in.

I don't really have a problem with holding these shares for 5 years but I can see the appeal to private equity of rapid international expansion on the platform that is already there. If the associated capex is to be funded by debt, and they are prepared to arrange all that, and pay a reasonable price for a controlling and take-private stake in the company today, then fair play to them really and I'd be happy to sell out also. Having more debt in this co as a public company does not seem wise at this point.
