It's not obvious from the Prospectus how RegTech Italy can fund anything by itself, sitting as it does at last audited results FYE 12/2022 with Equity of (£2.5m), current and tangible assets of £750K vs tangible liabilities of £7.5m.

So I imagine parentco TAG will have to step in somehow.

But here too the auguries aren't good : TAG is already delinquent on monies owed under similar standby credit lines extended to SYME, see

Buried deep in SYME's last results is this gem :

."On 30 June 2023, the Company issued a draw down notice to TAG under the amended TAG Unsecured Working Facility for the full GBP800,000 available. As at 30 June 2023, no funds had been received from TAG in respect of this facility, however subsequent to 30 June 2023, and prior to the release of these unaudited condensed consolidated interim financial statements, TAG had provided GBP245,000 of the GBP800,000 that had been drawn down by the Company..."

It looks as though Project Bamboozle is running out of road...

From last Friday's unaudited interims to 30-Jun-23. This was in relation to the Shareholder Loan Agreement between RTOP and RegTech Italy, of which £2.5m has been drawn so far (of a possible total of £8m). £437,500 has been drawn so far, and the balance (£2,063,000) is due to be drawn in four equal instalments each Tuesday through October (£515,750 p/w) starting tomorrow, per a Side Letter Agreement.

Will RTOP announce the receipt, or otherwise, of these payments this month? If not received, working capital will be getting very tight...
