Tree shake by MM to make easy money off pi's.

HK crew will have to show their hand at some point, not going to want carry paper losses indefinitely and Aristocrats have set floor on value at 680p. That said, we know share price based on breakup value has further to go, so maybe Aristocrats will revise offer accordingly, get 51% majority and then execute breakup.

I am happy to sit tight and watch it unfold

read paper earlier and only items of note were the some of Chinese had agreed to side with Jordan then suddenly changed their mind and one analyst said arusticrac may opt for 50pc deal which would pass. Split and sell in 2 parts possibility

Good spot, tepid RNS supporting 680p offer maybe indicates the top boys keep their jobs, on double pay, as the Aussies need them...(see Billy Hills and Caesar)Think the speculation may in part be driven by the recent buyout cost of Sisal by Flutter that puts SNAI in at a far higher valuation than previously indicated and break up could see 800 or 900 reachable Upside only, 40p (or more)

Have a read of below link re blocking rights, you can own 74.9% but can't guarantee you will get special resolutions passed, no listed co wants this kind of issue hence why they want 100% ideally but at least 75%

Having bought 6k shares @ £5.85 av. on Friday after looking at this, and having looked at the offer, - unless I am missing something huge Aristocat are free to buy whatever number of shares that they can, either at the offer or in the market.
If they can get ownership of 50.1% of the Company they then can call the shots with regards to how the Company is run, and it's future.
I can't see anything that says "if the takeover offer at £6.80 isn't accepted by 49.9% of shareholders, you are not allowed to buy ( 50.1% ) of shares either in the market or directly from willing shareholders at that price or below"
Having made the offer to every shareholder, why would anyone stop them buying 50.1%, and thus taking control of the Company, if not it's complete ownership ?

Still think aristocrat do not want the SNAI Italian book. Reckon they just want to be the biggest software co Worldwide and will sell coalface stuff off to entain/Ladbrokes, or somesuch, to add to their own estate. SNAI sell off will make rest dirt cheap

I suggest having a read of the fineprint, from memory takeover needs 75% approval from shareholders, standard as in UK company law you often need 75% ahareholder approval to pass desired changes.

Hence why the HK crew have a blocking vote with 28%

What could 'rebel' shareholders object to?
The Aristocat offer has been made, as far as I can see, in accordance with all the rules.
Any shareholder can refuse their offer, but that's the shareholders prerogative / "fault".
Surely it's only an issue if it comes to not having enough shares to make offer acceptance mandatory, and in that case you as the Takeover Company just live with minority shareholders ?

I could be wrong here but I suspect if Aristocrats did as you suggested they would be open to a class action in relation to the does and don't of the takeover code, by shareholders alot of whom have deep pockets to fund litigation

What if Aristocat sticks with it's 680 bid, gets 50.1%+ acceptances, and takes control of the Company anyway?
They'd have the running of the Company, only with minority shareholders, inc. a 29% / 30% shareholder, who would get whatever divvys going forward, but who could surely not influence decisions ?

or, are they working WITH Aristocrat & their picking up shares has ensured that Aristocrat will win and will pay 680p for most of the shares are over by a bit for the rest. Cheaper than 750 for all or 800 for overbidAristocrat may think that this was such a bargain that spoiling a rival bid was worth it. lightweight Eddie pathetically backed off as soon as he he started Either way 680 is a min & the board should not have been so negative in putting doubt in peoples minds. Is was going to a vote and still will so they should have said that alone and not speculated on intentions of any holders

I agree, apparently would not engage with JKO who were expected to offer 750p+ so there is a different game in play here, I am hoping they pop a bid on 1st just ahead of meet somewhere. north of 748p+

Article in the times doesn’t really add a lot, mentions some may have paid up to 740p.

Motives aren’t sure, also suggests Jordan’s group may have had difficulty funding.

Also apparently accepted they are not working in concert.

Given the steep drop, they may now see the original offer as the best way to cut losses.
