So the much anticipated “spin-off̶1; happens tomorrow.

I thought shareholders were all expecting to receive free shares? I haven’t seen any mention of that yet. Maybe later? Maybe never?

As it stands, all current shareholders have got is a fund raise for £4.1m. Before the float shareholders owned 75% of SkinBiotix and now it’s 42%. In short, you presently just own less than you did before.

The new company will be floated with a value of £10.7m. Good luck with that at such an embryonic stage. Commercialisation isn’t expected until Q4 2018 (cosmetic). With HCAI’s not commercialised until 2020 and dermatology until 2021/2022. Plenty more fund raisings will be required for this venture. Might get chased up tomorrow by the day traders or it might not, but then so does IEH and then reality kicks in.
Can’t see any attraction with this float at all.

It appears to me that they’ve suddenly rushed through this float before they’ve released their results for OptiBiotix because they’ll just show a company hardly generating any revenues, burning cash and making losses.

As I said many times before this is financial engineering to try and disguise frequent fund raisings.

Why the dip today? Is the market reassessing the value of OPTI now that we will 'lose' skin? I hope this will not have a negative effect on the share price tomorrow. And I was planning on selling a few OPTI shares today to buy into skin but will wait for OPTI to go higher before doing so. A bit disappointing all round.

There will be disappointment no free shares (I am).Appreciation in SKIN will help, but we may get a small sell off once SKIN float excitement is over.Really expected free shares here on reading previous RNS.

risky - I don't think OPTI can comment further on this until post IPO. This is why I think anyone selling now could be committing wealth suicide. It is probably why April 5 was chosen to limit the potential sell-off ahead of the new tax year...or I could be over thinking it, which explains my headache. The lock-in period ensures there will be a very tightly held block of shares for 12 months, add the nature of a small listing creating a very illiquid stock, even more illiquid than OPTI.

OPTI holders will benefit from appreciation of SKIN stake on OPTI's books. I suspect the 'hot money' hoping for some freebies leaving will suppress share price in short term though.

Lock in is pretty standard procedure for ipos under aim regs. What we don't know is whether you have to hold shares in opti for a certain period of time to gain the eventual 'reward' for Opti holders.

So 9p it is as the placing price. Good to see SOH has family as investors in SBTX. A little surprised to see first commercialisation listed towards the end of 2018; however, suspect this date is just for admin purposes in the document.

No free shares for at least a year due to lock in period?

Immediately prior to Admission, OptiBiotix, the University of Manchester, the Directors and Professor Andrew McBain (the “Rule 7 Locked-in Parties”) own, between them, 68,708,494 Ordinary Shares representing 57.9 per cent. of the Enlarged Ordinary Share Capital of the Company. The Rule 7 Locked-in Parties have undertaken to the Company, Cairn and Turner Pope that they will not sell or dispose of, except in certain limited circumstances permitted by Rule 7 of the AIM Rules for Companies, any of their respective interests in Ordinary Shares at any time before the first anniversary of Admission. The Rule 7 Locked-in Parties have further agreed that they will, for a further period of 12 months thereafter, be subject to orderly market arrangements during which time they will only dispose of their Ordinary Shares through the company’s broker.

During 2016, we had some large sellers unloading after every RNS, hence the downward trend on the chart. Since the start of 2017, the share price has increased over 30% as the market has finally started to wake up to the investment case. The share price has risen pretty much after every RNS in 2017. We have slimbiome already on the market gaining traction, cardio products soon to be launched and SweetBiotix potential launch date at the end of this year/early next. Bearing in mind the sugar tax is being enforced in April 2018, the timing could not be better! We know distributor deals are coming, otherwise how can products be launched. And the chances are we'll hear some news before the 25th April. April and May should be very busy months!

In the past this thread has noted that following almost every RNS, PR push or investor presentation there has quickly been a direct negative correlation on the share price performance.

Hope we have some concrete news on orders/contracts being signed which will generate meaningful revenue within a defined timescale as monetisation is the key next stage to take the share price forwards.
