Difficult day for the markets all round. Looks like we will finish below the 8 day ema, but considering what going on its not a surprise. Chart is still firmly in an uptrend. It does look like we are now oversold on a short term basis. I am looking to top up, but going to keep my powder dry for now. Longer term the story remains the same of course. IMHO, dyor.

jansky - HL have shortened/paraphrased the original wording from the circular, which is as follows:

"Shareholders should therefore be aware that if the Demerger is implemented they will not be able to sell, transfer or deal in the Newco Ordinary Shares they receive for a period to be determined by the Board and expected to be up to nine months following Admission."

There should be nothing to stop you buying more Newco shares (and subsequently selling them) on the market once they have listed. The only restriction is on the Newco shares you receive as a result of being an ORPH shareholder.

Edit: and actually in my email from HL they use the words "...will not be able to sell, transfer or deal in the Orph Pharma IP Company Ltd shares for a period..."

i.e. "the" shares that you receive as a result of being an Orph shareholder. So I think the HL wording (at least in my email) is correct.

MikeH, I'm not questioning the restriction as such. It's just that HL have sent a generic email which (as it's of a corporate action and no NOT advice of what to do) could be misinterpreted by shareholders and HL have a lot of clients. It's their phrase "will not be able to sell, transfer or deal in the Orph Pharma IP Company" that is confusing.

I also understand I may not be able to sell but I cannot see how they can enforce my right not buy any more.

This is not "free money to flip", this is a part of the existing company which is going to be separated out so that it can be funded and valued on its own merits. Any ORPH shareholder already has a share of this, but as it is aggregated with the rest of the ORPH business, it may not be fully understood, valued or appreciated by the market.

Anyone who doesn't fancy the lock-in can probably sell ORPH shares the day before they go ex-divi and buy them back (without entitlement to the in species divi) the day after, extracting cash for the market value of the spin-out in the process. By the time ORPH shares go ex-divi for the spin-out, the prospectus for the IPO will almost certainly have been published and so the market will have a better idea of the value of the spin-out.

This is all on the assumption that the ex-divi date is announced in advance, which I think is likely, but not guaranteed.

Why wouldn't they put restriction on it ? They aren't gonna give us free money to flip immediately that's not the way the market works. Just enjoy the upwards movement of free money with no flipping.

I have just received my notice of the proposed demerger of Orph Pharma from HL.

They comment: "Once the distribution is made shareholders will not be able to sell, transfer or deal in the Orph Pharma IP Company Ltd shares for a period to be determined by the board and expected to be up to nine months following admission of the shares trading on AIM".

I can see this putting a few shareholders off, a potential nine months is a long time. I hope everyone reads the prospectus!

I'd say the latest news about hvivo and Oxford uni is almost perfect, and apparently massively understood. Another world class partner using our covid models and IP. That is what I'd like to see all over the planet, at least where challenge studies are allowed. Licensing technology is almost 100% profit for little work. Bill gates knew that, Ceres knew that (eventually) and all other tech companies know that. You only have to forward think a little bit. Challenge studies will become the norm in drug development, phase 1a or phase 2a. Hvivo can't do everyone of them, and there's no need when the very easy money is in licencing.12t, soz about your 'loss' on your 1.25m shares, but you'll soon get it back, and double. You seem to be a long termer, so the odd 2/3p either way short term makes no odds, even though it's 40or50k to you. Best treat it as funny money. Keep calm and carry on trolling!

I bought more the other week as there are 2 bits of news due and possible this month. Accounts, which will prove we are profit making, and the possible 2nd spin off. I hope both will induce a movement upwards.
