11/11/2021 17:56 | JKAshton I am uncertain as to best route here - i am not averse to ruffling a few feathers here or there though if thats in the best interests of current shareholders. I for one though have always not been anti the current status as some others who post here - if you carry on delivering decent profits value will out and i bought into the structure as it was now so i knew what i was getting into. So hopefully the middle ground here is that they all work together to make this a lean mean 21st century well run fightig machine. What we do not need is new clusless bods to turn up and teel experienced hands how to suck eggs - so i would say lets hope they are all walking on eggshells. | rmillaree | |

Always surprises me when no attempt is made to associate board level changes such as these to some underlying logic as to why they will be of value to the company, in this example Northern Bear. Real arrogance towards shareholders and employees alike. The structure they now have at board level suggests that they will be looking to extract 'value' from the existing assets but not necessarily through organic led revenue / profit growth. While NTBR is a small company that they could almost certainly buy up from their own petty cash they may prompt NTBR into taking on more debt and using that to increase shareholder value and go down the path of a leveraged type buy out aka Glaziers at Man Utd. All in all I cant imagine what it is like for the employees of Northern Bear currently having such a remote board with experience primarily in finance and also based outside the North East / UK with very little knowledge of running a business such as NTBR; from a shareholder perspective it doesn't feel great at the moment either. Feels like it is being taken over surreptitiously by people that have no interest in NTBR being successful in its own right. Would love to be proven wrong, hopefully there will be announcement providing more clarity around this shortly. | jkashton | |

30/9/2021 12:34 | JKAshton Thanks for your comments, they have made me look at the situation in more detail. Resolution 2 at the AGM was the reappointment of Steve Roberts. He then resigned immediately prior to the meeting which seems very odd especially as he will continue his operational role in the group. This feels very much like he was pushed. The appointment of additional non ex directors also suggests that Jeff B wants to have control of the board. So far, I have not heard of any stakeholder engagement, and there seems to have been no news as to his strategy for the group if indeed he has one. If you or any other shareholder get contacted then please let the board know. | exbroker | |
27/9/2021 15:23 | Exbroker, thanks for the response. I am in NTBR for the long term so no intent on selling. If SR is going to act as the CEO then it would help to reflect that in his title and the org structure however as you say it appears Keith Soulsby is much better placed to do this and also has much greater hands on experience to act as a Group CEO so I don't see what benefit there is in someone sitting between KS and the Sub MD's. I am sure KS will see it the same way when the dust settles and he does, as you say, look to be a hands on participant and influencer with the Subs and their MD's. I am now 90% retired but worked for over 40 years in banking many of those years spent with international banks that had their main Boards , Chair , CEO in the USA so totally agree with the sentiments around the logistics of different geographies, timezones and just as importantly cultures. JB's comments around getting to know the companies and people better at NTBR I have heard many times before from people domiciled in N.America and that in general will be proven to be BS but my hope as I say is that he will want to start to see real value coming through the Group structure of NTBR and obviously start to see a return for his investment and as such will be the instigator of change to how the company is structured and run albeit to your point I would then expect the task of making it happen to fall on KS and the Sub MD's. Fine balance as I also agree that NTBR is a 'people with vast amounts of experience' business which is a massive asset for the Group. | jkashton |
