So, if only hendersons and the others that are in favour (40%) turn up at the meeting and all say aye, that will equate to 100% of the value of the shares represented at the meeting and the scheme will be approved. Friday under 300,000 were traded, even fewer today. Most of the trades today were small trades. But this isn't a deal that is going to be determined by private investors, there aren't enough to deliver the votes. The question is not why did he announce a bid with less than 40% irrevocable acceptances - most of them Henderson clients. Why didn't other big holders commit at the same time? 24/5/2013 16:26 | Close had 1.98% on 14/03. They had just accepted 5.5 pence for 218,976 shares, leaving them with just under 6 million. They might accept PMG shares, but might want an assurance of at least 5.5 pence value, as they know they have a good bargaining hand. If TC was finding it easy he wouldn\'t be declaring 1.27% here, 1.30% there. The market mid-point is now at the bid price, although there will be shenanigans before we close no doubt. I did some work on percentages to show to GiantSteps last night but didn't post in the end. It looks as if TC announced the bid as soon as he got a letter of intent from Palm Global taking him to 40.1%. (Looks a lot better than 38.8%.) Then he telephoned friendly media (eg Scotsman) saying its done and dusted. The key may be in the 20% of shares controlled by RJ Barby, Merchant Securities, Hayden Gardner and Stephen Zizzari. If those holders hold out for a proper bid it would not be easy to get over the line. | wbodger | |
