16/9/2013 13:41 | Obviously we know where Mr Black put to use the cash raised, but here it is confirmed Betfair edged up 1p to £10.56, shrugging off the disclosure that co-founder Andrew Black sold 600,000 shares in the betting exchange group, taking his stake to 3.93pc. Mr Black said the shares were sold mainly to help finance a loan he had made to clean technology company Hydrodec, where he sits on the board. The group used the loan to fund an acquisition. Ok it's not simply out of the good kindness, as it makes perfect business sense with the stake he currently holds and a way to unlock the potential, but from my reading, Mr. Black does put body and soul into the things he believes. Delivering on strategy The acquisition of OSS is a further major step in re-orienting Hydrodec into areas with major growth potential, at the same time as securing feedstock and market positions. We increase our SOTP to 15.2p from 13.0p to reflect this and rate the stock a Buy. This highly experienced management team is delivering. Financial impact. The deal enhances earnings in Hydrodec's first full financial year and by c40% in FY2015E. It is to be funded by debt provided by Andrew Black, the leading shareholder, with the result that net debt should reach c$32m at December 2013E. Management continues to evaluate all financing options available to it. Valuation. We value OSS at 5.5x FY2014E EV/EBITDA, a 30% discount to the c7.5x forward EBITDA paid for Safety Kleen by US-based Clean Harbours in 2012 and a 25% discount to the FTSE 250 Support Services sector. This may be conservative, in that OSS's EBITDA should show above-peer growth in FY2015E. Our valuation is significantly above the price paid, justified by the opportunities for strategic expansion that it brings.
