I guess that's why the 3rd party is interested in eurodis, they've waited for the management to deliver the cost cutting and then make their move. | ed winchester | |

04/7/2005 09:08 | morning chaps The following is a confused attempt to make sense of the possibilitites re any proposed merger with a private company (eg Rutronik). Any comments welcome. 1 If a cash offer is made for Eurodis then - if accepted - we will receive whatever it is and that will be that-end of the road. 2 If a share offer is made,in order for Eurodis shareholders to receive shares in new company,this would need to be listed (in practice?) 3 It is perhaps unlikely that any newly-formed company would be listed,given that Rutronik,the offeror,has been private. 4 However,if Rutronik doesn't have the cash,it may make a share offer,forcing it in effect to opt for a listing for the newly-formed company. 5 Even if any newly formed company is listed,could Eurodis retain a separate listing? 6 Could Rutronik remain private and Eurodis keep a listing? All in all,doesn't it seem unlikely that Eurodis would retain a separate listing, in which case there'd be less potential for share price appreciation? | mike012321 | |

It suited them to do so at this time and they had the excuse (Broker & magazine speculation) it served them. Here are our Books but everyone will know you are having a look. But I do think it is not WPG though. Correct me but On the 25/1/05 the share started to move of its bottom trading range 1.55p 31/1/05 Directors buy at 2.14p Newspaper speculation on the 19th February on possible moves a foot Phillips pulls the plug 23/3/5 Peel hunt / Magazine speculation June Directors announce talks Warped thinking process City gets wind something is stirring end of January beginning of February. The Directors send a signal that they view the company to be worth not less than 2.14p per share. Newspaper article appears appointments with Brokers are being missed. And no further director buying. Talks are underway from early February IMHO. Phillips drop a bomb shell on the 23/3/5 all deals are off. DR has to reassure the current discussion company (at this point it's a case of I'll show you mine if you show me yours except one parties has just had part of his chopped of and does not know how much has gone.) or has to find another company who is interested probably the former rather than the latter. If DR has not had to find another company after the Phillips announcement whoever it is wants ELH warts and all and are showing that fact subject to the effect Phillips will have. Maybe they already have the Phillips line unlikely otherwise the process would be further along IMHO Or are a major unlikely as any major would carry Phillips line and probably not be to bothered about losing 44 million euro, again the process would be further along IMHO I would guess that it's Rutronik or a similar sized company. For no other reason than they showed an interest back in 2003, their name seems to keep cropping up. As for the offer below but close to 2p. Why below 2p directors sent signal at 2.14p since then 44 million has been lost on turnover. Not scientific but there are not a lot of facts to go on. I am also leaning towards a non cash offer due mainly to the strength in the market going forward. Eurodis would have probably traded their way to profit without the loss of Phillips and need to plug that gap. Merger rather than buyout with another strong mid sized European would bring to the table many new franchise, what Eurodis require and quickly rather than going out and recruiting them one by one, This would be IMHO the best way to enhance share holder value medium to long term.
