It seems that we are moving into a news rich time with Tarana. I imagine this is part of the plan. I fully agree that death spiral can become a huge problem. But the evidence is that the lender can equally make money on a rising share with good news.

“We are pleased to report continued revenue growth in 2023 from our U.S. fixed wireless broadband solution customer. Furthermore, we are actively engaged in the development of a second-generation product for this customer. This development effort is ongoing in 2024, and we have been advised that the customer anticipates placing new orders for both the first and second generation products throughout the second half of 2024. The customer's rollout ramp-up plan for the second-generation product is scheduled to take place during 2025.”

Your summation and calculations are erroneous. Read what the RNS says very carefully.

"The amount available to be exercised under the Warrant is £800,000, less the value of the 40,000,000 Subscription Shares"

This clearly tells you there is no known value for the subscription shares as yet. If the 40m subscription shares were at 1p the value of the warrants would be only £400k not £800k.

The lender is protected by having the right to exercise warrants to the full value of the loan which is £800k in the event of a total collapse of the share price.

Lets deal with some scenarios.

1. If the lender subscribes for 40m shares at 1p on the 24/05/24 and assuming no movement from yesterday's closing price the lender would be down by £140k on day one. 1p - 0.65p x 40m = £140k.

2. Assuming no movement in the share price for 45 days from yesterday's closing price the lender can recover the £140k shortfall by exercising warrants to the value of £660k on the 46th day.

3. Finally let's take the worse case scenario. Two weeks from now Tarana announces it has cancelled its contract with ENET. If the lender is still holding the 40m subscriptions shares it supposedly bought for 1p the shares would collapse in value.

The lender can then seek to recover the full £800k at any time over the next eight months by the issue of warrants.

"The Warrant has an eight-month exercise period and can be exercised in full or in part with a maximum of five exercise notices being issued in total."

That the lender has eight months in which to recuperate £800k via a VWAP tells you this is a death spiral finance dressed up as a strategic investment.

I trust and hope this puts your 1p 40m subscription price to bed once and for all.

Luckily before the market picked up on it, has i did not have a position beforehand.
Imo ENET is priced still to go bust, which on every present metric it’s NOT !

Snooker. The closing bid/offer was 0.779/0.712 but the MMs headline was 0.85/0.65 which are for guidance only. We actually ended up for the day in real trades.

Big big event next week and cash raise out of the way. Maybe first news.

Pwhite. Nothing you say makes any sense after finding out you are invested in VRS. About the only company that makes ENET look Blue Chip.

£400k funded by unknown numbers of shares starting in 45 days from receipt of funds depending on share price but with the statement “ Should the exercise price be above 1p throughout the exercise period, then 40,000,000 is the maximum number of additional Ordinary Shares that would be issued under the Agreement.”

So, not a presold heavily discounted raise as you promised. Actually a raise at 50% premium on half the money with the distinct possibility that the actual conversion may be at far higher than 1p so less shares.

My panic was because i initially thought it was the deeply discounted raise. The market thought so too for a while. But the real nature took,a while to become clear. Given the history here with discounted placings it was sensible to check and recheck.

Investing.com and ii both quote 0.75p
Tha Adfvn graph at the top of this thread showd 0.75p. The last trade No 67 on Adfvn actually showed a trade of 0.779p and second to last of 0.85p. LSE shows the same closing prices as Adfvn.

They will do for me and my portfolio of shares are priced at 0.75p.

The Bid and Ask prices are rarely the trading prices when you actually place a trade. You know that so stop trying to scaremonger because it does not work.

You did not finish Friday on 0.75p. You finished Friday on 0.65p. For shareholders it is the bid price you judge the value of your investment by not the mid or offer price.
