In theory, the issue is at 1p for today’s 40m shares. A premium to today’s price. Of course if the share price drops to 0.5p for every day of the exercise period then another 80m will be issued.

Unless anybody can prove otherwise, and pwhite has failed dismally so far, this suggests that the lender knows good news is coming quite soon because otherwise they will both lose money and get in a death spiral horror.

Can you try to concentrate on that sentence? It answers all the questions.

Technically you can't have a premium to the market price. You can set the exercise or option price at whatever level you like but it does not have a value greater than the market price.

For example you live on a road of terraced houses that sell for £300k. You can place your house on the market through an estate agent at £600k. That is a 100% premium. If you manage to sell your house it will go for £300k or less depending on how desperate you are to move.

I hope that explains the nonsense of the warrant exercise price at 1p.

Don’t need a weekend. The RNS says

“Should the exercise price be above 1p throughout the exercise period, then 40,000,000 is the maximum number of additional Ordinary Shares that would be issued under the Agreement.”

So, 40m now. 40m in future if the share is above 1p. That means the value of the subscription share is 1p. Which is premium.

LOL it does not make sense. The upfront money is £800K which is the same as the total amount exercisable under the warrants. Then they state less the value of the subscription shares. They haven't told you want the value of the subscriptions shares are.

What is the value of the subscription shares? That's your homework for the weekend.

Seems pretty clear. The 40m shares are not an arrangement fee. They are part of the £800k. Because the RNS says so.

Pwhite. The warrants will make up the difference between the excise price of the 40m shares issued today and the £800k. That is clear. So minimum 40m extra shares.
