Hazl, agree that all the elements are being positioned nicely. You can imagine that when a company is defining a new advertising category they will be asking/asked a lot of questions and it seems BIDS have been putting all the right answers in place and closing all the gaps that may hinder the take up of this category.

Whether they are doing this off their own back or in response to other's demands matters not. What is key is that we are building up to more significant announcements during q3 and q4 and the fabled second half revenue bias.

sp looking more confused than it has for some time this morning

BIDS tweet:We're delighted to announce the acquisition of @Pubguard, the ad fraud prevention platform. The move will open up new channels and growth opportunities for us and will enhance our robust brand safety processes - protecting our gaming and advertising partners!

I don't know about everybody else but I get the feeling they are working upto
something quite exciting, and they are just putting all the bricks in place but I could be wrong.

Well certain cynics on this board would value BIDS at nothing fundamentally because it is loss making.

So to say that BIDS managed to buy a company using the leverage of an £80m valuation from a PE firm is positive in my eyes. Something for nothing by some accounts.

There are numerous examples of companies awarding shares at high prices that subsequently never materialised. Many examples of Directors buying high and losing as the share price slumped and never recovered. Don't read too much into it, these people screw up and get it wrong just the same as everyone else.

No, I believe we are reflecting the general market malaise at the moment and summer lull.
Quite normal.
Again the share-price has actually been in a narrow trading-range for a while....

and sellers coming out of the woodwork hazl....

and then some cheap buyers....

The share price is all over the place and quite clear that the market does not know what price to quote....

Not quite the RNS I had hoped for but certainly additive to the story and shows a focus on governance. Not so bad.

We have all known companies that have dropped the price so 34.5p is an excellent reflection of where we are now.....but that is before the good second half we are expecting!
Also the CANNOT sell for twelve months.

' The sellers of Minimised Media include Andrew Stevens, Chairman, Justin Wenczka, Chief Executive, Chris Damski, Chief Product Officer, Dan Hapgood, Chief Technology Officer, and two funds operated by Mercia Asset Management Plc ("Mercia"). The consideration for the transaction of GBP300,000 will be entirely satisfied by the issue and allotment of 869,565 Bidstack ordinary shares credited as fully paid at a price of 34.5 pence per share ("Consideration Shares").

Each of Justin Wenczka, Chris Damski, Dan Hapgood and Andrew Stevens have agreed not to sell any of their Consideration Shares for twelve months following completion save in certain limited circumstances and for the following twelve months to sell their shares only through a broker nominated by the Company. Mercia has agreed not to sell any of its funds' Consideration Shares for six months following completion save in certain limited circumstances.'

GN You are completely right that 34.5 p is a very good confirmatory price for those shares,as payment for clearly a necessary tool.

Again they didn't ask for cash from us the shareholders .

They are fitting in with the Advertisers expectations is my considered opinion.

Best not to invite comment because yet again the board becomes about him and the share price can reflect that.

Pwhite, can you clarify for us all why you think a loss making company is de facto bad - plenty of billion dollar companies are loss making.

can you also expand on why you think an acquisition is in your eyes the same as a placing? I can agree that the directors of pubguard have been made an offer they find hard to refuse and that they may have felt this was better than going it alone but that does not diminish this from bidstacks point of view.

welcome to the board, and perhaps your investment..thanks in advance for your clarifications.

Oh dear dear PWhite, you do seem an angry bunny. Looking at your recent posts, on another board, warrants were the new placing in your opinion, and now we need to add company purchases according to you. Are you short this stock by any chance?!

sja123- "that tells me that 34.5p is the lower end"

It tells you nothing of the kind. That is the floor the company is trying put under the share price as it continually struggles to hold above 30p. The directors of Pubguard taking 34.5p a share for a company worth nothing then locking themselves in for six months is a trick to convince mug punters like you.

It was similar with Derek Wises appointment. share options at 31.75p and 50p, shows there is a lot of confidence at this level being on the low side

Global Nomad....post 5755....that's an excellent point....in order to price the issue for Pubguard, their directors will have had to be privy to inside information....they will need to know they are getting a good price and a bargain price....that tells me that 34.5p is the lower end of the present value of Bidstack.....as seen from the inside.....

We all think we know that by speculation....but, surely,it has now in effect been spelled out to the market....
