So called growth by 'Acquisitions' is the latest trick used to raise cash to pay bonuses and salaries. £300k don't make me bloody laugh. Did BIDS not have any malicious software protection in place before they bought Pubguard?.

They have bought an enormously important piece of the puzzle for a steal, and its cost them nothing. This is a fantastic deal, with a company with important client. A stroke of brilliance. Is this a precursor for how well this team of champions perform, then the future bodes pretty well!!

as others have noted, the share price equivalent of 34.5 is a key indicator of how bidstack is being currently valued with information available to the pubguard directors to support their decision. May also explain the rise out of the recent range

This is how business is done and should be done. Extracting maximum value at negligible cost, no fundraise , no dilution more commitment to drive the share price forward.The 34.5p per share will probably be worth £1.34 in twelve months time.

Preimium and lock in period ,great company

The consideration for the transaction of GBP300,000 will be entirely satisfied by the issue and allotment of 869,565 Bidstack ordinary shares credited as fully paid at a price of 34.5 pence per share ("Consideration Shares").

Each of Justin Wenczka, Chris Damski, Dan Hapgood and Andrew Stevens have agreed not to sell any of their Consideration Shares for twelve months following completion save in certain limited circumstances and for the following twelve months to sell their shares only through a broker nominated by the Company. Mercia has agreed not to sell any of its funds' Consideration Shares for six months following completion save in certain limited circumstances.
