Now a third group asking if I can arrange an OTC trade on NLG at strong discount to last round price. NLG has some long-hold early investors very keen to cash out. Tom Cruise could swing from this overhang. Joshing aside the last ask came with a sad tale of cash in and promises Un met. If you are an insider legal or kid you should know a chunk of your cap table is stressed and frankly sad. Getting any insight into this stock for them is why I'm on this board FWiW...

$3m ARR to Sep22 ? Your figures are wildly inaccurate

Any ARR forecasts in the prospectus will have been heavily crunched and investigated by a number of independent auditors before Morgans took this show on the road.

With regards the directors , am pretty sure they was the crew that took Diligent public and returned pre IPO investors money 9-1 . Sure that listing had some bumps that im sure they have learned from, but look past that , the company was a HUGE success and remains a software giant to this day (450m USD revenue 2020)

On new directors: Could be Arria has reformed, the shadow directors have fallen away and the notorious Henry Brothers have diverted to other ventures. Or could be that they are cycling through another group of names... Arria has certainly had a string of high power, well branded directors in the last almost decade. Some have some great stories to tell .

So have you now seen the prospectus ? If so feel free to enlighten everyone to the ARR that has been signed off by various audits and will clearly need to be underwritten by morgans before we proceed

The ARR for 2022 and 2023 would be a good place to start .. ?

Windhill, a few questions for you:- why would Arria go through the expense of sending Sharon Daniela to Australia if it was not for the IPO, any other reason makes no sense. - as you seem to know a lot about Dominoes please tell us how many US franchises have been signed up, how many they are signing up a week and the average ARR

Legal: Well here's what I didn't know until I started doing a standard DD run on Arria NLG. Arria's NED Kerri Borg is wife to Brian Henry – who has a big chunk Arria shares and is one of only a handful of New Zealanders to be convicted of market manipulation (August 2017). He was fined 130K NZD. The judge said   "The conduct that Mr Henry engaged in undermines the development of a fair, efficient, and transparent financial market. Such market manipulation is likely to undermine the integrity of the NZX and jeopardise the confidence of both overseas and domestic investors in the NZ security markets. A pecuniary penalty is appropriate." ClassyKerri Borg is the sister in law of Kiwi Gerald Henry who was convicted and jailed for four years in the USA for wire fraud – a federal racketeering charge.Arria CEO Sharon Daniels is a lifelong friend of that same Gerald Henry – according to Henry's weird website, and was the Henry Brothers' shareholder rep on the board of Diligent – which seemed to have a very messy launch.Sharon Daniels ex-husband Marc Daniels was a Director of a company called Results.com which was sued into liquidation by some HNW family in NZ – the main shareholder of that company was Gerald Henry. And this is not ancient history – it happened in 2018.In the Arria Shareholder update in mid 2020 Sharon said they would recognize USD7.8M in revenue for year end Sep 2020. They actually reported USD 940KIn the Arria Shareholder update in mid 2020 Sharon said Bookings for 2021 calendar year (the leading indicator of revenue for following year) would be $55M USD. Their actual revenue to September 2021 was USD 9.36M ( I guess they could have got another $40M in for the last quarter to make good on the promise, but I guess we won't know that for a while yet).... Wow. Just wow. And all that from a 10 minute dive on CapitalIQ. Sure – there are plenty of founder groups with a colorful past (Thank you for making me money PayPal mafia); but this group seem particularly close, and repeat offendy... Now I'm really intrigued. Lights out, bed time...

No need for that. I teach university maths as a hobby. I can write acceptable English as well, even though I am not an expert. But you do not need to be an expert in order to avoid writing English as though a third language.
