If you take a step back you can see that many companies on AIM are operating effectively as little more than scams, akin to ponzi schemes really. It's not a fair market, in fact it's systemically corrupt, as is the UK generally under Sunak et al. As soon as you realise that, which I did a while ago, you act accordingly. | 1347 | |
08/11/2023 20:58 | 1347: if Kemexon either acquire more shares to take them over 30%, or get to that point through a concert party arrangement with Aleph, they’ll have to bid for the rest, if I remember the regulations right. There are rules on the price though. I think there will be more shenanigans before they do either of the above, to enable them to acquire Anguish as cheaply as possible. Maybe Anguish will announce that a Global Re-financing has proved impossible to negotiate and that they can’t meet the repayment instalments on the senior loan. That would do it. Mercuria would be paid off and retain their hedges and royalty (which would apply early). Aleph would get the assets. The FCA would sit back comfortably with a complaisant smile. Everyone would be happy. That’s what I call the shareholders being wiped out! But remember, you haven’t lost any money until you sell.. What? | jtidsbadly | |
08/11/2023 20:46 | JA If I have my figures correct Kemexon have 150,000,000 Warrants at 0.66 p, Aleph have 300,000,000 Warrants at 0.66 p. If both convert their Warrants they could get over 30% and launch a bid, if Paddy (who has form on this) advised it was in shareholders best interests (ha, ha) then if FESL and Knowe vote for it it will almost certainly get over 50%. Remember Aleph 'farmed' some holdings out to individuals below the 3% threshold so there are probably other associated entities who's holdings we don't see who would vote with Aleph. Alternatively they just wait until the Bridge Loan Too Far matures and convert that at the even more rock bottom price around 0.40 p and then it will be even easier and becomes fait acompli, assuming they haven't flipped a load of shares before then. Either way non-insiders will be wiped out. More twists and turns to come on Snake Pass yet. | 1347 | |

Non related parties would be wiped out. Personally I've thought for some time that it was likely to end this way, ever since Aleph appeared on the scene.
