Excellent news. Merger (Effectively reverse takeover) of NASDAQ:LOAC to achieve quick NASDAQ listing under ticker NASDAQ:LBPS by early next year. initially they'll maintain the Aim listing DDDD but hopefully they'll drop that at some stage as it might act as a drag on the main US listing.
Not really a merger, a takeover with an expedited US listing and enough cash to last at leat 9 months.Feckin brilliant move

Slowly recovering, from 90 to 106, would not be surprised to see this end up, in which case the chart starts looking great. These things can be very fickle, as people are trading based solely on how they think others are trading without any reference to the company itself.They may not succeed, but if there is any value to 4D surely you would expect opportunistic takeover approaches?

I don't think 4D would sell themselves for multitude of reasons but todays $BMY $13 Billion deal with $MYOK highlights there are pressing exogenous drivers ... like having $20bn cash on your balance sheet 'doing nothing' To pay for the deal, Bristol Myers will use some of the $20 billion in cash and equivalents it had as of the end of June. The growing size of the cash pile drew the attention of analysts, who questioned Bristol Myers about its use of capital on a quarterly results conference call in August. Bristol Myers CEO Giovanni Caforio said the company was “very activeâ€￾ in looking for takeover targets.

--->GOONER1886 I started buying WMH from 130p a couple of months ago, if that. Up over 100% with the takeover action still, but would have been nicer if I was in at the levels you speak of, of course. Still, a great return for less than 2 months. And I wish I had taken much more stock off the table last Friday... but still hoping for another bid or 2 to come in, so there could be a little more in it. I like BOO for the longer term. Hope you took some decent profits nevertheless. And incidentally, I support the 'other' team in N. London... hope that doesn't mean you are going to add to the abuse. :-) :-) Regards, THE COUNT!

They have huge leeway not to announce even price sensitive news Companies often for example keep informal takeover approaches secret because they don't want to have to run the Company under permanent 'takeover code rules' or allow competitors to disrupt their business relationships with opportunistic/strategic posturing. 4D management didn't tell us they were planning covid therapeutics or trials, they got on with it quietly in background with the regulators

Nestle Healthcare to acquire Aimmune Therapeutics in $ 2.6bill takeover a premium of 200% from Fridays close just announced. Nasdaq is the place to be. Nestle bought a million shares in SERES in the last placing 13th Aug.

NASDQA, not au fait with the mechanics of a dual listing so any advice welcome. Would a US listing involve new shares issued, dilution, if so how many do we expect and would these necessarily be at a market discount? Presumably AIM and NASDAQ pricing would be in sync so a strong $ would increase AIM sp? Most commentators expect pharmas to be more highly rated on NASDAQ so would this be expected to outlay any dilution effects? Would a NASDQA listing likely increase the chances of a big US pharma takeover? Sorry if this is basic stuff but would appreciate answers, thanks.

IT's a great time to release it if it means longer term holders can add at low levels. Seen this many, many times before on AIM. Stocks languish at 40p - 100p for years. News stacks up and then all of a sudden boom 500p plus on takeover, merger, or something else. It is why the UK owns crap all because all the UK mkt does is sell all our companies off cheap abroad

Whatever the results , the world has its focus on this exiting new frontier. DDDD scientists are boldly going where no man has gone before. The value of the intangibles here is huge. This surely must be a takeover target. They are giving the company away. Beam me up Scottie!!

Devonlad, if it works or not is always the case. I don't know if lockdown has affected me but i feel stone cold certain this will work to a significant extent, it won't be the answer to all that ails mankind but it opens up a whole new ballgame in medicine. The results to-date and the skin management have in the game and a 'gut feeling' (sorry couldn't help that one) drives me to my conclusions. Each investor has to decide for themselves. Probably a few years before a takeover or fuller value in company achieved, but and it is a big BUT maybe shorter depends on results this year. Its possibly Merck or another big pharmo decides to try and make a early takeover to avoid competition but i don't think that will work. Who ever moves first will not get a easy ride i suspect.
Excellent interview. In my opinion DDDD now working hard on a re-rating with them making a big attempt to raise their profile. Always a possibility of being taken over, focussing on building value of business. Every separate asset is individually going into multi-billion $ market. In the case of asthma not much made in advances in treatment over last 20 years.(To have a treatment that has no side affects is mega here in my opinion). Massive implications for revenue and treatment of cancer when working with such a major drug as Keytruda with Merck as a partner. Global market for CV19 with the advantage of a short compact trial. Applied for a couple of grants. Nasdaq listing he didn't say nay or yeah, but looks interesting. Just hang on in there investors. By xmas updates on CV19, oncology and IBS. What price a takeover 5 billion $ ?, I have no idea how big a deal it would have to be. He will not let it go undervalued

Beaujolly, Usually i go with the flow to, but in this case given the nature of this company in that if it works then it works big time and across the disease spectrum then i think it is unlikely that a takeout would ever give value for money even if it were to include shares in the takeover company.
sfs I tend to go with the flow as long as value is recognised one way or the other in the share price. In reality, (I might be wrong) but a takeover is normally the only way the key personnel are going to get true value out of the Company. I believe I'm correct in saying that 4D was born out of the sale of a previous enterprise by the directors.
Not necessarily, just fair value for were we are at present is required. All I'm saying is that if we stay at a price underneath fair value, a takeover by one of the big pharma is a distinct possibility.
Royalalbert, i assume from the way you are talking that you want a takeover, at the right price of course ? am i correct ?

The beauty about any takeover is that it will have to be a price acceptable to the directors or if would get voted down imo.

My advice would be don’t even look at Thread research the company’s throughly and value is always key .But the understanding of value comes in many disguises and that comes from experience. 4d will need to raise funds this year unless a licensing deal with upfront is achieved or as I believe a takeover at the current valuation is quite likely

Obligation to report threshold crossings;In accordance with the London Stock Exchange (LSE) rules, Panel of Takeover and Mergers board (PTM) rules, an investor who acquires, exceeds or falls below 3%, 4%, 5%, 6%, 7%, 8%, 9%, 10% and each 1% threshold thereafter up to 100% of a UK Company, must, under the Companies Act 1985 Section 198, disclose their interests to the London Stock Exchange and the company, within two days. The company may impose sanctions if disclosure not completed.Reporting needs to be more prompt and correct.

I’m interested in whether adding a live bio therapeutic to an existing drug would be the sort of innovation that would allow a patent extension. If so, you can see that DDDD could secure billions of sales for most pharma companies. And that might stop a takeover, because the benefits of everyone having access to DDDD tech is so significant that nobody wants to jeopardise that by trying to get it all for themselves.
Should be seeing a RNS next week on an update on the trial, email sent from company will be interesting to see where we are at. Because of our low market cap this could end up a takeover target very quickly, wonder what price we would go for. Before the price collapse we were at £1 a share

Morning all. Some decent posts over the weekend. One of the articles about Remdesiver made me laugh. 'production costs are around $10 for one dose/7 day supply however we would expect the actual sales price to be nearer $5000/$6000 per dose once you factor in development costs.' Which is why they can give a 200/300k for free and then fleece everyone. My point being, the value of our platform/patents and £150M already spent on development will be realised at some point. Be it takeover, or just rerating as pharma becomes the investment of choice.
