08/9/2022 08:19 | Airbag, I think that sums up the likely situation well. The administrators at the AGM confirmed that they (4D) did have an alternative funding package on the table to take out OF. At the time their first choice was to see if that option was still on the table while in admin. My guess is that the reason the resolution at the AGM was to be able to issue up to 100% of the shares in issue, was to be able to utilise this new funding package but administration was brought about before it could be actioned. Reading between the lines with what admin and the BoD said at the AGM, OF had no need to place this in admin but these US lenders can be very aggressive in a downturn market and probably saw the opportunity to ring fence their loan. | the donald | |
07/9/2022 09:31 | Podium, agree it does all seem suspicious but BOD would have had to sacrifice large chunks of their own money if this was the intention. That is a risky game to play for BOD which is why I think they were simply naive. I think they got caught out by the bear market in BioTechs. They never foresaw such a destruction in Share price, they simply didn't have this on their radar. They ploughed more of their own money in at 110p. They really thought share price was going to go through the roof on NASDAQ launch. In their minds they were better than Seres and that firm was valued at way more. But worse than that, as the share price was on the way down they were blinkered into not issuing more shares for fear of diluting their own holdings. Clearly the market didn't believe the story. 25/8/2022 07:15 | Correct and DP said at the AGM ( while in administration) that he and Alex expected Merck to take 3 forward which would lead to an initial pay out in Autumn of $5 to $10m per vaccine. IMO, Merck will buy 4D, why wouldn't they? Alternatively, if these milestone payments land soon ($15-30m), some refinance is put in place and 4D is out of admin. It is not the doom and gloom some are making out. A fire sale would have happened now. A good friend who is an administrator for a large worldwide firm said that the admins he does, most are completed in a few weeks. Something else behind the scenes here and no news is good news as they are clearly working on something. | the donald | |
