09/6/2013 09:49 | HMS: The potential dilution coming from the equity restructuring is a red herring..It's just a device to make the shell as attractive as possible, with the agreement in the articles to make huge equity placements in the future. (up to circa 2BN shares) The EGM Notice made that point clear - "Consequences of the Share Capital Reorganisation ...................T Though I think it's the dilution from the RTO that you are worried about, and that's admittedly an unknown.. we have a £5m EFF facility in place, that's probably it in terms of working capital. To my understanding the first step is for the private company to acquire a controlling interest, which should mean a period of strong buying which will push up the price without dilution. 30% is the threshold for when a mandatory offer will arise. It's unclear to me whether 51% is really required, they just need enough votes to secure a yes vote for the merger. NB. due to the use of nominee accounts, we don't really know who hold large holdings now. Noventa only have a duty to inform us about holdings on the share register, or those that they have been informed about by the holder directly. | john6185 | |
