My understanding is that Mr Hunt has talked to the Preference Shareholders now, and they are not going scr*w us.

Hopefully some actual news next week then, as the nay vote seems highly unlikely.

Also, some news the sales process is overdue. I hope for some sort of excess, as the process would have been winded up earlier if no bidders were willing to exceed the reserve price set by Luca. Question is how much? £5m /£20m ??

Tell you one thing, I bet the preference share holders know.

I may be wrong, but I believe that not all share trades are effected on the LSE even if you think that is where your broker dealt.

The jobber, I believe, is free to process the trade elsewhere.

Further, I do not agree the company's arithmetic on the holding. I calculate 16m shares to be nearer 10%, not 13%.

Hopefully the conversion ratio or redemption terms will be announced ahead of the EGM vote.

Expect between 30p-50p of value per Pref share.

okay, large dilution for the ords but it clears the last hurdle for the "shell" operation.

and don't forget that the pref holders are likely to receive a story to tempt them into agreeing an ord for pref swap.

Anyone have any idea how the preference shareholder situation will pan out.Not regular pi's in that ensemble of 11, and probably some ex directors. I believe one is a billionaire sheik. Why he didn't step in to salvage the situation, we may never know.They either convert to ordinary shares, or the effective debt remains.

The potential dilution coming from the equity restructuring is a red herring..It's just a device to make the shell as attractive as possible, with the agreement in the articles to make huge equity placements in the future. (up to circa 2BN shares)

The EGM Notice made that point clear - "Consequences of the Share Capital Reorganisation ...................The rights of the Ordinary Shares will in all material respects be unchanged." At least at that point in time.

Though I think it's the dilution from the RTO that you are worried about, and that's admittedly an unknown.. we have a £5m EFF facility in place, that's probably it in terms of working capital.

To my understanding the first step is for the private company to acquire a controlling interest, which should mean a period of strong buying which will push up the price without dilution. 30% is the threshold for when a mandatory offer will arise. It's unclear to me whether 51% is really required, they just need enough votes to secure a yes vote for the merger.

NB. due to the use of nominee accounts, we don't really know who hold large holdings now. Noventa only have a duty to inform us about holdings on the share register, or those that they have been informed about by the holder directly.

Dont really do crosswords myself but I was thinking there could be something in the NHS connection (my turn to be cryptic) aswell. Who needs palm readers when one has such subtlety in the RuNeS! ;)

What are your thoughts on the potentially massive 350M share dilution that could occur - what could that do to the SP?

Do you have any concerns that if an RTO does end up going ahead the uplift in value could evaporate from before our very eyes though such a dilution?

Thnks John :) will take anothr look at RNS's. Would b great if you could provide a few more clues vis a vis th biz we may be in. RE the potential excess, ive come across a few aim cos tht trade below cash value so although i believe of there being strong possibilry tht we'll end up with excess im not so sure of th strong liklihood tht this will be reflected in the share price
