Nick confirmed there is resale value in a Shell plc on AIM. Then the wise man sage mentioned "tax", then slowly the brain cells kicked in ....kerchiing

Question 1: What has Noventa been very successful at in recent years?
Answer 1: making a big losses - $10m(2010), -$54m (2011) , 2012 ?? got to be another -$50m+

Question 2: What value is there in making a loss?
Answer 2: If someone who made a $50m+ operating profit in the last year ALONE, bought Noventa through a reverse takeover then the magic equation for success is ..... drum roll please ....

Tax Liability for 2012 = $50m (profit) - $54m (loss) = -$4m ... Value .= priceless??

Guaranteed!!!

An interesting theory on just what may have transpired.

If this is indeed the sequence of events then this may be a good example of just how rigged equity markets have become particularly in the lower reaches where extreme financial uncertainty impacts decision making.

Will anyone investigate any of the issues you have highlighted ? Doubtful. Cost relative to benefit. Caveat emptor.

Far from being the only instance of suspicious share value destruction.

I am surprised there has been no comment/reaction to the purchase of 38m shares by one of Henderson Global's hedge funds at 1.25p.

Or am I missing something ?

Companys like Noventa are so risky they are only worth 200 pound punts for a long term view in hope of a 5+ bagger.

I am surprised anyone would put 6 grand in this when there is chance of suspension anyday as Noventa may think they are better off saving on the listing fees.

Price is now almost at its lowest ever level. Intraday I seen 0.5p to buy so I imagine it get to that level before any bounce can happen.

dona...
3 directors have gone (probably to run HAMCM for Richmond). There are still at least 3 left, I understand, and they only need one to get it done. In fact the less the better - they don't need to burn cash, just run it on a shoestring until a strategic investment signals the inevitable forthcoming RTO.

I imagine one or two will be glad to oversee it. The rewards for them during a strategic investment and afterwards following an RTO are potentially enormous. They should be queuing up to oversee such. I would be! Money for nothing.

Since they have fired all the directors who will organise this famed RTO?

Yes rocket fuel, like your ilk said about NEOS before it jumped 500% the other week! LOL!

You can't really lose much on a 'shell'. The listing alone, in the mining sector, is worth £1m. They also have some cash (AFTER paying HAMCM commitments) and access to quite a bit more via the existing Darwin EFF. They may also have quite a bit in brought forward tax losses?

So they are a (now) clean shell in an in-demand sector, with some cash and an arrangement for additional funds as required.

I can see a queue forming to jump in here.

Jo

PS. I am down about 40% as it stands, but a nice RTO here could recoup that 10 fold. Just have to be patient - it could take a month or two for that, although it could rocket on a 'strategic' investment (as with Teeling at NEOS, or McKeon at ZOL, or Lee at Plutus.
