    Issue of Equity & Total Voting Rights

    Gatekeeper announces that it has granted 600,000 Ordinary Shares of US$0.001 each ("Ordinary Shares") to an employee under an incentive
arrangement. The new Ordinary Shares granted under this arrangement (the "New Ordinary Shares") will rank equally with the existing Ordinary
Shares of the Company.  400,000 of the New Ordinary Shares are subject to a lock-in agreement.

    Application has been made for the New Ordinary Shares to be admitted to trading on AIM ("Admission"). It is expected that Admission will
become effective on 7 August 2008.

    Following the issue of the New Ordinary Shares the total number of Ordinary Shares in issue will be 43,996,193. There will be 4,598,500
Ordinary Shares held in treasury, and therefore the total number of Ordinary Shares with voting rights in the Company will be 39,397,693.

    The above figure of 39,397,693 Ordinary Shares may be used by shareholders in the Company as the denominator for the calculations by
which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the
Company under the FSA's Disclosure and Transparency Rules.
