The only thing missing from this profit warning was the last paragraph.
.
Following on from our announcement that revenues for 2016 will be lower, group order intake has been lower and we have been forced to put prices up on these declining markets for next year we are pleased to announce we awarded ourselves £200k in bonuses and ex gratia payments on top of our £1m+ remuneration package.

That reads like a profit warning, but they could not bring themselves to use that exact phrase......

The real shame is patviera is not posting here. What you need is the point of view of a major investor. Its obvious that Nick Slater, Perloff and Kinder are more than happy with performance here, you dont hand out nearly 1/4 million pounds in bonuses on top of Industry standard breaking remuneration packages unless you think you are getting something exceptional. Apart for voting £77k to KD without any contractual justification, the Remuneration Committee has also paid a further £61k in professional fees for advice on these remuneration schemes. So is that paying £61k in fees for advice to pay someone £77k when they don't have to? Admittedly they now have a new scheme proposed for next year, at slightly lower amounts but with KD included, which triggers around £0.75 m of trading performance. This is quite low, but they have included Checkit, so on present behaviour, it will never happen.

Yes spec, i think they said Chuckit grossed 200k and surprise surprise £77k +£77k +£51k = £205k in bonuses and free hand outs. The company is in dire straits and the boardroom echoes to Money for nothing:-)

Would i be right in saying the three of them managed to cream off every penny from sales of checkit ?

Toot toot, step back from the tracks...gravy train approaching

I see both JW and AW earn significant bonuses (£77k and £51k respectively) for the trading performances of the respective divisions excluding Checkit - but then the Remuneration Committee has decided to offer KD an ex gratia bonus of £77k, the same as JW, despite not having any entitlement, in order to 'recognise his contribution' ... Well done Keith you played a blinder there :-)

The key is "open market" I would guess its a long time since Daley or wilson actually bought shares in the open market, I'm sure they will award each other lots of shares via some scheme or other if they need them :-)
As i say if the other shareholders are happy with what's going on and they seem to be then that's all that matters really, good luck to them, I'm past caring :-).

Hi Guys,

Should we be very concerned about a potential buy out / take over with this part anyone?

Keith Daley, John Wilson, one other shareholder and the Trustee of the EBT are currently considered to be in a concert party under Rule 9 of the Takeover Panel Rules. This limits their individual ability to freely purchase shares in the open market but not from other concert party members.

So the FTSE reaches a 10 month high just 3 days after the BBC announces the markets are in turmoil....The way the media has reported this leave vote has been appalling. Its plainly obvious the BBC is full of lefties and always has been but their totally biased approach to brexit is a disgrace and does the country no good at all.
No doubt even now Daley is listing reasons why he can blame the poor results of Checkit on brexit..despite the € working in his favour. Is it even available abroad ? and are there any foreign takers ? how long before EKT invokes Chexit :-)

Its also been 9 months now since patviera forecast a 70% drop in the markets while claiming to have won prizes at Oxbridge for his prowess as a economist ? Lets hope he doesn't get a job on our negotiating team with the EU :-)

I would imagine this whole RNS has been waiting for Barry to be kicked into touch ? Oh well at the end of the day the shareholders are happy or they would leave, Management is happy or they would leave and workers are happy or they would leave.

Let them get on with it.

Come on patviera, tell us you are happy :-)

So, the new running total over ten years 2007-2016, KD stand forward having received £2.012m ! Well done. Gold star for ripping off shareholders.

JW £1.45m, but that is only since 2011.

The Board ? A total of £7.068m pay in ten years.

Because they are worth it

When you read what is supposed to be an annual report it is infact just an explanation of how the chosen few can milk the company of as much money and shares as they can. The new strike price is 10p which is what microgen offered anyway 2 or 3 years ago. They obviously see even 10p as an achievement now. The bottom line is they raised £2.3m 2 months ago and this is their plan to get as much as they can either in shares or cash into their own bank accounts ASAP.

Just checked the historics. Board pay is at its highest level since 2011, but that included £316,000 of severance payments.

£309,000 is a new record for both muppets. They were both on between £221,000 and £248,000 for the five years 2011-15. So, they have driven a coach and four through their previous pay levels

As i have said it's a gravy train, money for nothing. Sell off the divisions to pay the extra wages. I said at the time they would never reach the strike price for the JSOP and now they are admitting this will never go to 25p, what a humiliation.
Tiger, the big holders will do nothing, the only one with any balls was Barrie and he was silenced...........or was he :-)

There is a great line on Chekit in the risk section " if demand for the initial launch were too great, Elektron would not be able to supply product". Oh yes, the clients beating down the door, the surge in demand which has soared by 0% this year to £200,000. It must be swamping them
