Adorian plc ("Adorian" or the "Company")
Proposed acquisition of Anglo Biotrans plc (Anglo Biotrans)


The Board of Adorian announces today that terms have been agreed in principle and subject to contract with Anglo Biotrans, a public company traded on the Deutsche Borse on the Xetra Market in Frankfurt, to acquire the entire issued share capital of Anglo Biotrans, comprising of 56,966,420 ordinary shares of 0.002p each (the "Sale Shares") held by the existing shareholders of Anglo Biotrans (the "Vendors").

Adorian is, subject to conditions including those set out below, to acquire the entire issued share capital of Anglo Biotrans for a consideration of #199,382,470 to be satisfied by the issue to the Vendors of 1,000,000,000 ordinary shares of #0.01 each in the capital of Adorian (the "Consideration Shares").

The acquisition is conditional inter alia upon satisfactory due diligence, the approval of the shareholders of Adorian and compliance with the other procedural and substantive regulations governing the transaction applied under the AIM Rules and the Code on Takeovers and Mergers and upon satisfying any regulations required by Anglo Biotrans.

The proposed acquisition will represent a "reverse transaction" under the AIM Rules, and, accordingly, dealings in Adorian's shares will be suspended with immediate effect pending publication, in due course, of the required admission document.

The technology allows the transdermal delivery of drugs of up to 12,000 Daltons which is many times greater than any system currently in use.

Reynolds, has bought 100,000 ordinary shares in the company at 18.5 pence and

International Brand Licensing Plc ("IBL"), owner of the Admiral sportswear
brand, announces a new strategic alliance with @miral BV for the territory of
Benelux, Germany, Austria, and Switzerland.

As part of a ten, plus five year option, license agreement for this key central
European territory, @miral will use its extensive design, development, and
marketing resources to develop seasonal programmes for IBL's network of
international licensees. Sales revenues in the @miral territory are forecast to

Exercise of Convertible Loan Notes

At a Board Meeting of 23 September 2005, the Board accepted a request from Atun
Select Fund Limited for the conversion of Loan Notes for #25,600 and has agreed
to allot 2,560,000 new Ordinary shares at 0.1p per share (the "Shares") in
accordance with the terms of the Loan Note Instrument. This holding represents
21.72% of the enlarged issued share capital of the Company.

The Shares will rank pari passu with all existing ordinary shares and
application is being made for the Shares to be admitted to trading on AIM.
