if true

phps its the result of having a director for Human Resources (which I criticised in the past, as, imo unneccessary at board level in a microcap)

Hi all, I’m hearing teachers are threatening to go on strike due to issues with incorrect payments going out to staff in September and the. deductions coming out of pay in October without staff being informed. Also hearing additional unpaid work being added to contracts without consultations with staff. Not impressed. Anyone else hearing about staff unhappiness?

Yes, it does seem unfair that bricks & mortar schools are counted as charities when the school run is part of the reason the world is in climate crisis.

Interhigh should be given a huge government grant for single handedly saving the planet from annihilation

The chances of Labour winning the next election don't look high imo, but if they did and if they implemented their policy on independent schools that would surely be bonanza time for WEY.

Smithie,

I don't blame the estate for taking options. The two important questions are always the reason for the timing and how quickly they will come to market.

can the thread creator delete the last post which looks to have nothing to do with WEY shares ?

Oh, and at the risk of pointing out the obvious, saying that "David Massie's estate are supportive of our strategy" does not mean they will not sell any shares.

Hopefully the vast majority of the estate's Wey shares are IHT exempt, but some may need to be sold to meet IHT due on other assets if there is insufficient cash. Also, I'm "supportive of their strategy", but of course I'll sell if I need the money, plus I am on the record of saying I'll reduce if I think the price has got ahead of itself - why would his beneficiaries be any different?

So, please, no whinging if some shares are sold in due course.

Smithie6,

It is important to understand that InterHigh's learning technology mostly consists of a hub that acts as the glue integrating third party products that they license (principally Adbobe Connect and Infrastructure Canvas). The investment in getting this working undoubtedly gives InterHigh a competitive advantage but it is highly debatable whether it is saleable product, and if it is, most of the value would be captured by the likes of Adobe and Intrastructure. If you want to own a pure edu-tech company they you need to look elsewhere.

Related party contracts are very common in smaller companies, especially around property - look at the recent announcement from Creightons for example. In most cases the arrangements benefit the company in terms of both cost and flexibility and there are various shareholder protections in place. In Wey's circumstances it is completely understandable that the London property would no longer be required and that the owners would wish to negotiate the best possible deal.

Issuing share options at around the prevailing share price is common and considered good practice as opposed to nil-cost share options. There may be scope to criticise the structure of the incentive plan set up back in July 2015, but not in the way the rules have been followed.

Ultimately as an investor you have not doing your job properly if you were not already aware of the related party contract and share dilution. The time to complain (or sell your shares) was when these agreements were made / announced and in my opinion complaining now makes you look a little silly.

4% dilution

while the share price hasnt fallen 4% to keep the cap. value the same

..so the mkt seems quite content with the 5M new shares being issued
..today anyway

excessive share options phps ?

X million shares at par
excessively cheap ?

options
many were at 3-4p
& mkt price is ~11p

6-7p profit per share, costing 3-4p
even an idiot would have exercised the options

in coming weeks we will see if they decide to hold or try to bag that 6-7p/share profit

Any thoughts on the options just taken in the near term?

the recent deal between Pearson & 1 private school

should WEY not do the same ??

20-30% cut from 100 schools using WEY products in some way would surely be much more profit than 100% from just a limited number of WEY teachers using the WEY products (& with a limit on growth rate due to how quickly WEY can increase its teacher numbers while keeping within in house & external standards for teacher skill & experience levels

It could be great news. Different price brackets. Harrow raise the profile of online education. Interested parties realise there are more reasonably priced alternatives resulting in free marketing for inter high
